RECITALS

Agent shall have no authority beyond that specifically granted in this Letter without the prior written consent of Principal.

3. TERM; EFFECTIVE DATE; TERMINATION

7.1 Agent shall keep confidential all non-public information obtained in the course of performing duties under this Letter and shall not disclose such information to third parties except as required to perform authorised acts or as required by law.

8. INDEMNIFICATION

8.1 Principal shall indemnify, defend and hold harmless Agent from and against any and all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of or relating to actions taken by Agent in good faith within the scope of the authority granted herein. This indemnity shall not apply to acts of gross negligence, willful misconduct or fraud by Agent.

9. REVOCATION

9.1 Principal may revoke this Letter at any time by delivering written notice of revocation to Agent and to third parties reasonably likely to rely on this Letter. Revocation shall be effective upon actual receipt by Agent or upon a date specified in the revocation notice, whichever is later.

10. NOTICES

All notices required or permitted under this Letter shall be in writing and delivered to the addresses set forth below (or to such other address as a party may designate in writing).

11. AMENDMENT; WAIVER

11.1 Any amendment or waiver of any provision of this Letter must be in writing and signed by both Principal and Agent. No failure or delay by a party in exercising any right will operate as a waiver of that right.
