LEGAL AUTHORITY TO BIND

This Legal Authority to Bind (the Agreement) is made and entered into as of Effective Date: by and between Principal Name: organized as an entity type: formed under the laws of: with principal place of business at: (Principal), and Agent Name: in the capacity of: with address at: (Agent). RECITALS

WHEREAS, Principal desires to authorize Agent to enter into, execute, deliver and otherwise bind Principal to certain agreements, instruments and obligations on behalf of Principal within the scope described below; and

WHEREAS, Agent represents that Agent accepts such appointment and will act in accordance with the terms, limitations and conditions set forth in this Agreement; and

WHEREAS, the Parties desire to set forth the authority, representations, limitations, and the rights of third-party reliance in writing.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. APPOINTMENT; SCOPE OF AUTHORITY

1.1 Appointment. Principal hereby appoints Agent, and Agent accepts such appointment, to act on behalf of Principal to perform the acts set forth in this Agreement and to bind Principal to contracts, instruments, or commitments only to the extent expressly authorized in this Agreement.

1.2 Scope. The scope of authority granted to Agent shall be limited to the following matters and transactions:

2.2 Representations by Agent. Agent represents that Agent has the capacity, skill and authority to perform the duties described herein and will at all times act in good faith and in the best interests of Principal when binding Principal as authorized by this Agreement.

3. RELIANCE; THIRD-PARTY RIGHTS

3.1 Reliance by Third Parties. Principal acknowledges that third parties may rely upon any documents, instruments, or commitments executed by Agent within the scope of authority granted herein. Principal agrees to be bound by such instruments and to perform all obligations thereby created, subject to the express limitations herein.

3.2 Verification. Any third party may request, and Principal shall provide upon reasonable request, a certified copy of this Agreement or a certified certificate of corporate resolution or like evidence of authorization. Principal shall use commercially reasonable efforts to provide such verification promptly.

4. LIMITATIONS ON AUTHORITY

4.1 Excluded Actions. Notwithstanding any other provision, Agent is not authorized to take any action that would (a) amend Principal's governing documents; (b) incur indebtedness secured by Principal's assets in excess of the amount specified in Section 1.2; (c) transfer substantially all of Principal's assets; or (d) take any action expressly reserved to Principal's board of directors or equivalent governing body unless expressly consented to in writing by Principal.

5.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until terminated as provided herein.

5.2 Termination. This Agreement may be terminated by either Party upon written notice to the other Party in accordance with the Notices provision. Termination shall not affect liabilities or obligations incurred prior to the effective date of termination.

6. INDEMNIFICATION; LIMITATION OF LIABILITY

6.1 Indemnification by Principal. Principal shall indemnify, defend and hold Agent harmless from and against any and all losses, liabilities, claims, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to any act done or omitted by Agent within the scope of the authority granted by Principal, except to the extent resulting from Agent's gross negligence, willful misconduct or material breach of this Agreement.

6.2 Limitation of Liability. Except for liabilities arising from willful misconduct or gross negligence, neither Party shall be liable to the other for consequential, incidental, special or punitive damages.

7. NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and shall be deemed delivered when delivered in person, by nationally recognized overnight courier, or on the date shown on the recipient's signed delivery receipt for deliveries by certified mail.

8. GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law rules. The Parties agree that any dispute arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in the county where Principal's principal place of business is located, and each Party submits to the personal jurisdiction of such courts.

9. MISCELLANEOUS

9.1 Entire Agreement. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral.

9.2 Amendments and Waiver. No amendment or modification of this Agreement shall be valid unless in writing and signed by both Parties. No failure or delay by either Party in exercising any right shall operate as a waiver of such right.

9.3 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

9.4 Counterparts and Electronic Execution. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means (including scanned signatures and electronic signature platforms) shall be effective as originals.

9.5 Further Assurances. Each Party shall execute and deliver such further documents and take such further actions as may be reasonably necessary to effectuate the purposes of this Agreement.
