RECITALS

WHEREAS, Principal Name: is engaged in activities for which delegation of certain authorities to an authorized representative is customary and necessary; and

1. APPOINTMENT

Principal hereby appoints Authorized Representative as its true and lawful authorized representative to act on behalf of Principal for the matters expressly described in Section 2. This appointment constitutes a fiduciary delegation to the extent required by applicable law.

2. SCOPE OF AUTHORITY

The authority granted includes, without limitation, the authority to sign, execute and deliver documents, make and receive payments, access records, and take steps reasonably necessary to effectuate matters within the written scope. Any action beyond the scope set forth in the preceding paragraph shall be voidable by Principal.

3. DURATION

This authorization commences on Start Date: and shall terminate on End Date: , unless sooner revoked pursuant to Section 10 below.

4. LIMITATIONS AND PROHIBITED ACTIONS

The Authorized Representative shall not, without the express prior written consent of Principal, borrow funds on behalf of Principal, transfer material assets, enter into long-term obligations in excess of the agreed threshold, or settle claims in excess of the monetary limit set by Principal. Any purported act beyond such limitations is unauthorized and may be void or unenforceable.

5. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that (a) it has full power and authority to enter into this Form; (b) the individual executing this Form on its behalf is authorized to do so; and (c) when executed, this Form constitutes its legal, valid and binding obligation enforceable according to its terms.

6. INDEMNIFICATION

The Authorized Representative shall indemnify and hold harmless Principal from and against any and all losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising from the Representative's breach of this authorization, willful misconduct, or gross negligence. Principal shall provide prompt written notice of any claim to the Representative.

7. NOTICES

All notices under this Form shall be in writing and shall be deemed given when delivered by hand, sent by nationally recognized overnight courier, or three (3) business days after deposit in the mail, postage prepaid, to the addresses provided above or to such other address designated by written notice.

8. GOVERNING LAW

This Form shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law.

9. ENTIRE AGREEMENT

This Form constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations and understandings, whether written or oral, relating to such subject matter.

10. SEVERABILITY

If any provision of this Form is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired thereby, and the invalid provision shall be reformed to the minimum extent necessary to make it valid and enforceable.

11. AMENDMENT; WAIVER; COUNTERPARTS

This Form may be amended or modified only by a written instrument executed by both parties. No waiver of any term or condition of this Form shall be effective unless in writing and signed by the party against whom enforcement is sought. This Form may be executed in one or more counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. TERMINATION

Principal may revoke this authorization at any time by written notice to the Authorized Representative. Termination shall not affect any action taken by the Authorized Representative in good faith prior to receipt of written revocation.

13. CERTIFICATION OF AUTHORITY

The parties acknowledge that each has read and understands this Form, that they have had the opportunity to consult counsel, and that they voluntarily accept the duties and obligations set forth herein.
