This Legal Authorized Signature Form is made effective as of the day of , , by and between Client Name: (hereinafter "Principal") and Authorized Representative Name: (hereinafter "Representative").

RECITALS

WHEREAS, Principal is a legal entity authorized to conduct business and enter into contracts and wishes to designate a person authorized to execute and deliver specified documents and instruments on its behalf;

WHEREAS, Representative has represented that Representative has the capacity, authority and skill to act on behalf of Principal with respect to the matters described herein and Principal desires to rely upon Representative's signature for specified transactions;

WHEREAS, the parties desire to set forth the scope, limitations and conditions under which Representative may affix an authorized signature on behalf of Principal.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. AUTHORIZATION

Principal hereby authorizes Representative to execute, acknowledge, deliver and file documents, instruments, certificates, and any other writings (collectively, "Authorized Documents") on behalf of Principal solely to the extent and for the purposes described in Section 2. Such authorization is a limited power and does not transfer ownership or management authority in Principal. Representative's authority is limited to those acts expressly permitted by this Form and any such act taken outside the scope herein shall be of no force or effect against Principal.

2. SCOPE OF AUTHORIZATION

Representative is authorized to sign the following categories of documents on behalf of Principal: Representative shall not execute any document that would: (a) create a material obligation in excess of amounts or terms previously approved in writing by Principal; (b) amend Principal's organizational instruments; or (c) transfer title to real property without express written consent from Principal.

3. SPECIMEN SIGNATURES AND IDENTIFICATION

Representative's specimen signature and identifying information are set forth below and shall be relied upon by third parties until Principal provides written revocation pursuant to Section 7. Principal and Representative certify that the information is true and accurate.

4. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it is duly organized, validly existing and in good standing under the laws of its jurisdiction of formation; (b) it has full power and authority to enter into this Form and to perform its obligations hereunder; and (c) the individual signing for each party is authorized to execute this Form and bind that party.

5. INDEMNIFICATION

Representative shall indemnify and hold harmless Principal, its officers, directors and agents from and against any and all liabilities, losses, claims, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to any unauthorized act, gross negligence, willful misconduct, or breach of this Form by Representative. Principal shall indemnify Representative for liabilities arising from Principal's directions that are unlawful or materially misleading to third parties relying in good faith on Representative's authority.

6. CONFIDENTIALITY

Each party shall maintain in confidence all nonpublic information obtained from the other party in connection with this Form and shall not disclose such information except to employees, agents, or professional advisors with a need to know and who are bound by confidentiality obligations no less restrictive than those contained herein.

7. TERM; REVOCATION; TERMINATION

This authorization shall remain in effect until revoked in writing by Principal. Revocation shall be effective upon receipt by Representative or any third party reasonably relying on the authority except to the extent that such third party has already acted in reliance. Principal may specify a notice period for revocation: days. This Form may be terminated earlier by mutual written agreement of the parties.

8. NOTICES

All notices, demands and other communications required or permitted under this Form shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice in accordance with this Section.

9. AMENDMENTS AND WAIVER

No amendment, modification or waiver of any provision of this Form shall be effective unless in writing and signed by both parties. A waiver by either party of any breach shall not be construed as a waiver of any subsequent breach.

10. GOVERNING LAW

This Form shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

11. ENTIRE AGREEMENT

This Form constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

12. SEVERABILITY

If any provision of this Form is held to be invalid, illegal or unenforceable in any respect, that provision shall be severed and the remaining provisions shall continue in full force and effect.

13. COUNTERPARTS; ELECTRONIC EXECUTION

This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. The parties agree that signatures transmitted electronically or by facsimile shall have the same force and effect as original signatures.
