This Legal Award Form (the "Award") is made and entered into as of by and between Claimant Name: with address and Respondent Name: with address .

RECITALS

WHEREAS, Claimant initiated a dispute against Respondent arising out of the matters described in the arbitration/administrative proceeding summarized below; and

WHEREAS, the parties participated in a proceeding before: on or about ; and

NOW, THEREFORE

5. RELEASE; COVENANT NOT TO SUE

Upon receipt of full payment and performance of the non-monetary obligations specified herein, Claimant shall release and forever discharge Respondent from all claims, demands, actions and causes of action that were or could have been brought in the proceeding underlying this Award, provided, however, that this release shall not affect enforcement rights under this Award.

6. CONFIDENTIALITY

The parties agree that the terms and existence of this Award shall be treated as confidential except as required by law or to enforce this Award. Any permitted disclosure shall be limited to the minimum necessary to comply with legal obligations.

7. ENFORCEMENT

This Award is a final and binding determination between the parties. Either party may seek enforcement of this Award in any court of competent jurisdiction. The prevailing party in any enforcement or collection action shall be entitled to recover its reasonable attorneys' fees and costs.

8. NOTICES

All notices required or permitted under this Award shall be in writing and delivered to the addresses set forth below by certified mail, courier, or personal delivery, and shall be effective upon receipt.

9. GOVERNING LAW; MISCELLANEOUS

9.1 Governing Law. This Award shall be governed by and construed in accordance with the laws of the state or jurisdiction selected by the tribunal as applicable to the underlying proceeding. The parties submit to the exclusive jurisdiction of that forum for enforcement of this Award.

9.2 Entire Agreement. This Award contains the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral.

9.3 Severability. If any provision of this Award is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed to give effect to the parties' intentions.

9.4 Amendments; Waiver. No amendment or waiver of any provision of this Award shall be effective unless in a writing signed by both parties. The failure of either party to exercise any right under this Award shall not operate as a waiver of such right.

9.5 Counterparts. This Award may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
