RECITALS

5. EMPLOYER ACKNOWLEDGMENTS AND OBLIGATIONS

5.1 Employer will review the Application in good faith and may approve, approve with conditions, or deny the Application based on operational needs, safety, and legal requirements. Employer shall provide written notice of approval or denial within a reasonable period.

5.2 Employer reserves the right to modify the AWD where justified by legitimate business reasons, provided notice is given to Applicant and the modification complies with applicable law.

6. REVIEW, MONITORING, AND TERMINATION

6.1 Review: The parties agree to a review period to assess operational impact. Employer may require periodic status updates from Applicant concerning performance under the AWD.

6.2 Termination: Either party may terminate the AWD upon written notice. Employer may immediately suspend or terminate the AWD if continued observance of the schedule would violate law, compromise safety, materially impair operations, or where Applicant materially breaches the terms of this Agreement.

7. REPRESENTATIONS, WARRANTIES, AND CERTIFICATIONS

7.1 Each party represents and warrants that it has the authority to enter into this Agreement and that its execution will not violate any other agreement or legal obligation.

7.2 Applicant certifies that the information provided in this Application is true and complete to the best of Applicant's knowledge and that Applicant will immediately report any material changes that affect the AWD.

8. INDEMNIFICATION AND LIMITATION OF LIABILITY

8.1 Applicant shall indemnify and hold Employer harmless from any third-party claims arising from Applicant's failure to comply with Employer policies or applicable law, except to the extent caused by Employer's gross negligence or willful misconduct.

8.2 Employer's liability for direct damages under this Agreement is limited to direct, proven damages and shall not include incidental, consequential, or punitive damages except as required by law.

9. CONFIDENTIALITY

10. NOTICES
