RECITALS

WHEREAS, Owner/Applicant is the registered owner or authorized representative of a lot or unit within the scheme known as Scheme Name: , Lot/Unit No.: ; and

WHEREAS, Body Corporate/Manager administers and manages the common property and related functions for the scheme and maintains records and authority as required under applicable body corporate and community management law and the scheme's by-laws; and

WHEREAS, the parties wish to set forth the terms by which the Body Corporate will consider, approve, supervise or otherwise manage the proposed works, access, levies, insurance and records relating to the affected lot or common property works described herein.

NOW, THEREFORE

In consideration of the mutual covenants contained in this Agreement, the parties agree as follows.

1. DEFINITIONS

1.1 In this Agreement, unless the context requires otherwise:

"Approved Works" means the works described in Section 3 and approved in accordance with clause 4 of this Agreement.

"Common Property" means the parts of the scheme designated as common property under the scheme's register and by-laws.

2. TERM AND EFFECTIVE DATE

2.1 This Agreement commences on the Effective Date: and continues until completion of the Approved Works and finalisation of related records, unless earlier terminated in accordance with this Agreement.

3. SCOPE OF PROPOSED WORKS

4. APPROVALS, CONDITIONS AND AUTHORITY

4.1 The Body Corporate shall consider the proposed works and may grant approval subject to reasonable and proportionate conditions including, without limitation, requirements for:

(a) compliance with applicable building codes, by-laws and certification requirements; (b) provision of plans, specifications and warranties; (c) evidence of public and damage insurance covering the works; and (d) a security bond where necessary to secure reinstatement of Common Property.

4.2 Approval, if granted, must be in writing and may include time-limited conditions, staged inspection requirements and obligations to restore or repair Common Property at the Owner/Applicant's expense.

5. ACCESS, INSPECTION AND RECORDS

5.1 Owner/Applicant grants the Body Corporate and its agents reasonable access to the lot, common property and relevant records to inspect the works, verify compliance and maintain necessary records.

6. LEVIES, COSTS AND SECURITY

6.1 The Owner/Applicant shall be responsible for all costs arising from the Approved Works unless otherwise agreed in writing. The Body Corporate may raise a special levy or require a security deposit to cover potential reinstatement or damage to Common Property.

7. INDEMNITY AND INSURANCE

7.1 Owner/Applicant indemnifies the Body Corporate, its officers and tenants from and against all claims, liabilities, losses and expenses (including reasonable legal costs) arising out of or in connection with the Approved Works, except to the extent caused by the Body Corporate's negligence or willful misconduct.

7.2 Owner/Applicant shall maintain adequate public liability and property damage insurance for the duration of the works and provide evidence of such insurance to the Body Corporate upon request.

8. CONFIDENTIALITY

8.1 Each party must keep confidential all non-public commercial or technical information disclosed by the other party in connection with this Agreement and use such information only to perform obligations under this Agreement, except where disclosure is required by law or by the rules governing the scheme.

9. DISPUTE RESOLUTION

9.1 In the event of a dispute arising under or in connection with this Agreement, the parties must first attempt in good faith to resolve the dispute by negotiation between senior representatives. If not resolved within 30 days, the dispute may be referred to mediation and, if necessary, to the courts of competent jurisdiction.

10. GOVERNING LAW

10.1 This Agreement is governed by and must be construed in accordance with the laws of the jurisdiction in which the scheme is located. The parties submit to the non-exclusive jurisdiction of those courts.

11. ENTIRE AGREEMENT

11.1 This Agreement constitutes the entire agreement between the parties in relation to its subject matter and supersedes all prior negotiations, representations and agreements, whether written or oral.

12. SEVERABILITY

12.1 If any provision of this Agreement is held to be invalid, illegal or unenforceable in whole or in part, that provision will be severed and the remaining provisions will continue in full force and effect.

13. NOTICES

13.1 All notices, consents and other communications required or permitted under this Agreement must be in writing and delivered to the addresses set out in the opening paragraph or to such other address as a party may notify in writing.

14. AMENDMENTS AND WAIVER

14.1 No amendment of this Agreement will be effective unless in writing and signed by both parties. A waiver of any breach of a provision of this Agreement will not be taken to be a waiver of any subsequent breach.

15. COUNTERPARTS

15.1 This Agreement may be executed in counterparts and all counterparts together will constitute one instrument.
