4. CERTIFICATION

The authorized signatory of the Company hereby certifies, under penalty of perjury or other applicable statutory penalty to the fullest extent permitted by law, that the information contained in this Confirmation is accurate and complete as of the date signed and that the signatory is authorized to make this certification on behalf of the Company.

5. ONGOING OBLIGATIONS; NOTICE OF CHANGE

The Company agrees to notify the Recipient promptly and in writing upon becoming aware of any material changes to the information provided in this Confirmation, including but not limited to changes in beneficial ownership, control structure, or any new facts that would render the representations herein inaccurate.

6. CONFIDENTIALITY AND USE OF INFORMATION

The Recipient may use the information provided by the Company for compliance, regulatory reporting, recordkeeping, and law enforcement disclosure obligations. The Recipient shall maintain reasonable administrative, physical and technical safeguards to protect the confidentiality of nonpublic personal information consistent with its legal obligations; provided, however, that the Recipient may disclose such information where required by law, regulation, subpoena or regulatory authority.

7. NOTICES

All notices, requests, consents and other communications required or permitted under this Confirmation shall be in writing and delivered to the addresses below (or to such other address as a party may designate by notice in accordance with this Section).

8. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment, modification or waiver of any provision of this Confirmation shall be effective unless in writing and signed by both parties. No failure or delay in exercising any right shall operate as a waiver. This Confirmation may be executed in counterparts, each of which shall constitute an original and all of which constitute one and the same instrument.
