LEGAL BIDDING AUTHORITY FORM

RECITALS

2. GRANT OF AUTHORITY

2.2 Authorized Bidder shall have the authority to: (a) assemble and deliver Bid Documents; (b) submit bids or proposals; (c) negotiate non-material clarifications with procuring entities; and (d) receive notices or notifications pertaining to bid status, provided such actions are within the monetary and procedural limits set out in this Form.

3. SCOPE, LIMITATIONS AND FINANCIAL AUTHORITY

3.1 Maximum Authorized Bid Amount: Authorized Bidder shall not submit any bid or enter any fixed-price commitment in excess of without the prior written approval of Principal.

3.2 No Power to Bind Beyond Bids: Authorized Bidder shall not execute or bind Principal to any contract, change order, surety, or payment obligation beyond the acceptance of a bid by the procuring authority, unless Principal provides a separate executed written authorization.

3.3 Performance and Payment Obligations: Acceptance of a bid shall not relieve Principal of any performance, payment, or warranty obligations arising under the ultimate contract; such obligations will be governed by the terms of any subsequent contract between the parties.

4. REPRESENTATIONS AND WARRANTIES

4.1 Each party represents and warrants that it has the authority to enter into this Form, and that the individuals executing this Form on its behalf are duly authorized to do so.

4.2 Authorized Bidder warrants that all Bid Documents submitted on behalf of Principal will be true, accurate and complete to the best of Authorized Bidder's knowledge and will comply with applicable procurement requirements.

5.1 Authorized Bidder shall comply with all applicable laws, rules, regulations, and procurement procedures governing the solicitation, including but not limited to conflict-of-interest rules, disclosure obligations, and debarment/suspension requirements.

6. CONFIDENTIALITY

6.1 During the term of this Form and thereafter, Authorized Bidder shall maintain in confidence and shall not disclose any non-public information or trade secrets of Principal received in connection with bidding activities, except as required by law or with Principal's prior written consent.

7. INDEMNIFICATION

7.1 Authorized Bidder shall indemnify, defend and hold harmless Principal from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Authorized Bidder's negligent acts, willful misconduct, or material breach of this Form in the performance of bidding activities.

8. TERM AND TERMINATION

8.1 This Form commences on the Effective Date and shall continue until the earlier of: (a) written termination by either party upon ten (10) days' notice to the other; or (b) final award and execution of all contracts related to the Project unless earlier terminated in writing.

8.2 Termination shall not affect accrued rights or liabilities of either party arising prior to termination, including obligations of confidentiality and indemnity.

9. NOTICES

9.1 All notices required or permitted under this Form shall be in writing and delivered to the addresses provided above by hand, certified mail, or overnight courier and shall be effective upon receipt.

10. AMENDMENT; WAIVER

10.1 No amendment, modification, or waiver of any provision of this Form shall be effective unless in a writing signed by both parties. No failure or delay in exercising any right shall operate as a waiver of that right.

11. GOVERNING LAW
