LEGAL BINDER AGREEMENT

This Legal Binder Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: , Client Address: , and Binder Custodian Name: , Custodian Address: .

RECITALS

WHEREAS, Client desires to compile, preserve and maintain an organized set of original and/or duplicate documents and records described as the Legal Binder (the Binder) for purposes of record-keeping, regulatory compliance and transactional convenience; and

WHEREAS, Custodian has the facilities, personnel and expertise to receive, index, store, maintain, reproduce and deliver the Binder and related materials under the terms set forth herein; and

WHEREAS, the parties wish to set forth their respective duties, access rights, confidentiality obligations, retention and destruction protocols and compensation for services in a written agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Binder" means the collection of Documents and Records described in Schedule A attached hereto and any subsequently included Materials accepted by Custodian pursuant to Section 2. Document list summary:

1.2 "Confidential Information" means all non-public business, financial, legal or technical information provided to Custodian in connection with the Binder, whether oral, written or electronic, but does not include information that is or becomes publicly known without breach by Custodian.

2. SCOPE OF SERVICES

2.1 Custodian shall receive, index, label, store and preserve the Binder items in accordance with industry-standard practices for legal document custody. Custodian shall provide a written index and summary upon initial acceptance and upon each material update.

2.2 Delivery of initial Binder materials to Custodian shall occur no later than: . Custodian shall notify Client in writing of any materials it declines to accept and the reason for such refusal.

3. ACCESS, DELIVERY AND INSPECTION

3.1 Client or Client's authorized representatives shall request access in writing. Custodian shall make Binder materials available for inspection or delivery within business days of receipt of a properly documented request, except where urgent access is required.

3.2 Custodian shall maintain a chain-of-custody log for all movements and reproductions of Binder materials and shall provide copies of such logs to Client upon reasonable request.

4. CONFIDENTIALITY AND DATA SECURITY

4.1 Custodian shall protect Confidential Information using administrative, technical and physical safeguards that are no less protective than those it uses for its own confidential materials and in compliance with applicable law. Custodian shall limit access to personnel with a need to know and shall require confidentiality obligations from such personnel.

5. RETENTION, RETURN AND DESTRUCTION

5.1 Custodian shall retain the Binder for a retention period of from the date of acceptance unless otherwise instructed in writing by Client or required by law.

5.2 Prior to destruction, Custodian shall provide Client with written notice at least days before scheduled destruction to permit Client to request return of materials. Unless Client provides written notice to retrieve materials within the notice period, Custodian may destroy the materials in accordance with the method described below.

6. FEES AND PAYMENT

6.1 Client shall pay Custodian the following fees: Base Fee: (USD) and, where applicable, per-item handling fees as set forth in Schedule B.

7. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full corporate or individual authority to enter into this Agreement, that performance of its obligations will not violate any agreement with a third party, and that any information it provides to the other party is true and complete to the best of its knowledge.

8. INDEMNIFICATION

8.1 Client shall indemnify and hold harmless Custodian from and against any claims, liabilities, losses or expenses arising from Client's breach of representations, or from hazardous materials contained within Binder materials not previously disclosed in writing.

8.2 Custodian shall indemnify Client for losses directly resulting from Custodian's gross negligence or willful misconduct in the custody, storage or delivery of Binder materials, subject to the limitations in Section 9.

9. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for incidental, consequential, punitive or special damages. Custodian's aggregate liability under this Agreement shall not exceed the total fees paid by Client to Custodian during the twelve (12) month period immediately preceding the claim.

10. TERM AND TERMINATION

10.1 Term. This Agreement shall commence on the Effective Date and continue for a term of unless earlier terminated in accordance with this Section.

10.2 Termination for Convenience. Either party may terminate this Agreement for convenience upon days' prior written notice to the other party.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may specify in writing:

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties. A waiver of any breach shall not constitute a waiver of any subsequent breach.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

14. ENTIRE AGREEMENT; SEVERABILITY

This Agreement, including any schedules and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. COUNTERPARTS; ELECTRONIC SIGNATURES

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. The parties agree that electronic signatures shall be valid and binding to the same extent as original signatures.
