1.1 "Beneficial Owner" means any natural person who, directly or indirectly, through any contract, arrangement, understanding, relationship or otherwise: (a) exercises substantial control over the Reporting Entity; or (b) owns or controls, directly or indirectly, an ownership interest in the Reporting Entity meeting any threshold specified in law or policy.

1.2 "Control" means the ability to direct or influence significant decisions of the Reporting Entity, including by voting power, management authority, or other means.

3. CERTIFICATION AND REPRESENTATIONS

3.1 Reporting Entity certifies, to the best of its knowledge after reasonable inquiry, that the information provided in this Report is true, accurate and complete in all material respects as of the Effective Date. Reporting Entity further represents that it has in good faith identified all individuals and entities that meet the definition of Beneficial Owner and has disclosed any limitations on the information provided.

3.2 Reporting Entity agrees to retain supporting documentation that substantiates the identities and interests set forth herein and to make such documentation available to Receiving Entity or other authorized parties upon lawful request.

4. RECORDKEEPING, UPDATES AND DISCLOSURE

4.1 Reporting Entity shall update this Report whenever there is a material change in the information provided or within days of such change, and shall deliver an amended Report to Receiving Entity.

4.2 Receiving Entity may use and disclose the information contained in this Report only for purposes of verification, record retention, statutory reporting obligations, or other lawful purposes as permitted by applicable law. Receiving Entity will apply reasonable administrative, technical, and physical safeguards designed to protect the confidentiality of the information.

5. REPRESENTATIONS, WARRANTIES AND INDEMNIFICATION

5.1 Each Party represents and warrants that it has the power and authority to enter into this Report and to perform its obligations hereunder.

5.2 Reporting Entity shall indemnify, defend and hold harmless Receiving Entity from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) resulting from any inaccuracy in the representations or information provided in this Report, except to the extent such claim arises from Receiving Entity's gross negligence or willful misconduct.

6. NOTICES

All notices required or permitted under this Report shall be in writing and delivered to the addresses set forth below or to such other address as either Party may designate in writing in accordance with this Section.

7. MISCELLANEOUS

7.1 Governing Law. This Report shall be governed by and construed in accordance with the laws of the jurisdiction of incorporation or organization of the Reporting Entity, without regard to choice-of-law principles that would result in the application of the laws of another jurisdiction.

7.2 Entire Agreement. This Report constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous understandings and agreements, written or oral, regarding such subject matter.

7.3 Severability. If any provision of this Report is held to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect, and the Parties shall endeavor in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the economic, legal and commercial objectives of the invalid provision.

7.4 Amendments and Waiver. Any amendment to this Report must be in writing and signed by duly authorized representatives of both Parties. No waiver of any breach or default shall constitute a waiver of any other right hereunder.

7.5 Counterparts. This Report may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
