Recitals

5. Release and Indemnification

Releasor releases and forever discharges Releasee and its officers, employees, agents, and assigns from any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from or related to the Releasee's receipt, retention, use, or disclosure of the records to the extent such actions are authorized by and consistent with this Agreement and applicable law.

Releasor shall indemnify, defend, and hold harmless Releasee from and against any claims, demands, suits, or causes of action brought by third parties arising out of Releasor's breach of any representation, warranty, or covenant contained in this Agreement, except to the extent caused by Releasee's gross negligence or willful misconduct.

6. Representations and Warranties

Releasor represents and warrants that Releasor is authorized to grant the release described herein, that the information provided to Releasee is true, complete and correct, and that no other person or entity has rights superior to Releasor with respect to the disclosure of the records identified in Section 1 unless such rights are disclosed in writing to Releasee at the time of execution.

7. Fees

Releasor agrees to pay any reasonable fees or costs incurred by Releasee in retrieving, copying, or transmitting the requested records, unless otherwise waived or prohibited by law. Any fee arrangement shall be confirmed in writing prior to Releasee's delivery of records.

8. Term and Termination

This Agreement shall become effective on the Effective Date set forth above and shall continue until the earlier of (a) completion of the authorized release and use of the records for the purposes set forth in Section 3, (b) withdrawal of authorization by Releasor in writing delivered to Releasee, or (c) termination by mutual written agreement of the Parties. Any termination shall not affect Releasee's obligations with respect to records already received.

9. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth in the opening paragraph or to such other address as either Party may designate in writing.

10. Amendments, Waiver, Counterparts

This Agreement may be amended only by a written instrument signed by both Parties. No waiver of any provision of this Agreement shall be effective unless in writing and signed by the Party against whom enforcement is sought. This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one instrument.

11. Governing Law; Entire Agreement; Severability

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be stricken and the remaining provisions shall remain in full force and effect.

By signing below, Releasor certifies under penalty of perjury that the information provided in this Agreement is true and correct, that Releasor is authorized to direct the release of the requested records, and that the release is made voluntarily for the purposes stated herein.

13. Acknowledgment

Releasor acknowledges that Releasee may require proof of identity and additional documentation to effectuate the release. Releasor agrees to cooperate and provide such documentation upon request and understands that failure to do so may delay or prevent release of records.
