RECITALS

6. Amendments. These resolutions may be amended or supplemented by the board of directors by a further written consent executed in the same manner as this Consent. No amendment shall affect the validity of any action previously taken pursuant to this Consent.

7. Waiver. The failure to insist upon strict compliance with any provision of this Consent shall not be deemed a waiver of any right or remedy, unless such waiver is set forth in a written instrument executed by the waiving party.

8. Governing Law. This Consent shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles.
