LEGAL BUSINESS AUTHORIZATION FORM

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. APPOINTMENT AND SCOPE

1.1 Appointment. Principal hereby appoints Agent as its true and lawful agent and attorney-in-fact, with full authority to act in Principal's name, place and stead to the limited extent specified in this Authorization.

1.2 Scope of Authority. The Agent is authorized, subject to the limitations in Section 3, to perform the following acts on behalf of Principal:

2.1 General Limitations. Agent shall not, without the prior written consent of Principal: (a) enter into any transaction that would transfer ownership or equity interests in Principal; (b) amend Principal's organizational documents; (c) make gifts, charitable donations, or distributions in a manner inconsistent with Principal's customary practices; or (d) incur indebtedness on behalf of Principal exceeding .

2.2 Standard of Conduct. Agent shall act in good faith, with reasonable care, and in the best interests of Principal in carrying out the authorities granted by this Authorization.

3. TERM, TERMINATION AND REVOCATION

3.1 Term. This Authorization shall commence on the Effective Date and shall continue until Termination Date: unless earlier terminated in accordance with this Section.

3.2 Termination; Revocation. Principal may revoke this Authorization at any time by delivering a written notice of revocation to Agent in accordance with the Notices provision of this Authorization. Revocation shall be effective upon receipt by Agent. Termination of this Authorization shall not affect Principal's liability for acts properly performed by Agent prior to receipt of notice of revocation.

4. REPRESENTATIONS AND WARRANTIES

4.1 Principal represents and warrants that Principal is duly organized, validly existing and in good standing under applicable law, and that the execution, delivery and performance of this Authorization have been duly authorized by all necessary action.

4.2 Agent represents and warrants that Agent has the authority, capability and professional wherewithal to perform the powers granted and will comply with all applicable laws and regulatory requirements in exercising such powers.

5. INDEMNIFICATION

5.1 Indemnity by Principal. Principal shall indemnify, defend and hold harmless Agent, its officers, employees and agents, from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or in connection with acts or omissions of Agent taken in good faith within the scope of authority granted by this Authorization.

5.2 Agent Liability. Agent shall remain liable to Principal for any losses arising from willful misconduct, gross negligence or material breach of this Authorization by Agent.

6. CONFIDENTIALITY

6.1 Confidential Information. Agent shall keep confidential all non-public information obtained from Principal and shall use such information only as necessary to perform authorized duties under this Authorization. Agent shall not disclose Confidential Information except as required by law or with Principal's prior written consent.

7. COMPLIANCE WITH LAW

Agent shall comply with all applicable federal, state and local laws, regulations and ordinances in the performance of duties under this Authorization, including laws concerning privacy, data protection and financial transactions.

Notices shall be in writing and shall be deemed given when delivered personally, when sent by confirmed overnight courier, or three (3) business days after deposit in the mail if sent by certified mail, return receipt requested.

9. AMENDMENTS; WAIVER; COUNTERPARTS

This Authorization may be amended only by a written instrument signed by both parties. No waiver of any provision hereof shall be effective unless in writing and signed by the party against whom enforcement is sought. This Authorization may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Authorization shall be governed by and construed in accordance with the laws of the state specified above, without regard to its conflict of laws principles. This Authorization constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations and agreements, whether written or oral. If any provision of this Authorization is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. MISCELLANEOUS PROVISIONS

The headings in this Authorization are for convenience only and shall not affect its interpretation. Any obligation to render accounts, reports or disclosures shall be satisfied by the delivery of reasonable written summaries of actions taken under this Authorization.
