2. Authority and Capacity

3. Representations and Warranties

4. Reliance; Use of Certification

The Recipient may rely upon this Certification for purposes of due diligence, contract performance, regulatory compliance and other lawful purposes reasonably related to the Recipient's business relationship with the Certifying Party. Such reliance shall be limited to the representations contained in this Certification as of the Effective Date, and the Certifying Party undertakes to notify the Recipient promptly in writing of any material change to the facts certified herein.

5. Indemnification

The Certifying Party shall indemnify, defend and hold harmless the Recipient and its officers, directors, agents and employees from and against any and all losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of the representations, warranties or certifications made herein, except to the extent such losses result from the Recipient's gross negligence or willful misconduct.

6. Notices

All notices, requests, consents and other communications under this Certification shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice in accordance with this paragraph. Notices shall be deemed given upon personal delivery, upon confirmed delivery by nationally recognized overnight courier, or three (3) days after deposit in the United States mail, certified or registered postage prepaid.

7. Amendments; Waiver

No amendment, modification or waiver of any provision of this Certification shall be effective unless in writing and signed by both parties. No waiver by either party of any breach or default shall constitute a waiver of any other right or remedy under this Certification.

8. Governing Law

This Certification shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to principles of conflict of laws.

9. Entire Agreement
