LEGAL BUSINESS CONSENT FORM

This Legal Business Consent Form ("Consent") is made effective as of by and between Business Name: with principal place of business at ("Business"), and Recipient Name: with address at ("Recipient"). Business and Recipient are each a "Party" and collectively the "Parties."

Recitals

WHEREAS, Business owns and controls certain business identifiers, proprietary materials, customer information, operational processes and other assets described herein that Business is willing to permit Recipient to use subject to the terms and limitations of this Consent; and

WHEREAS, Recipient desires limited authorization to use certain Business assets and to receive certain Business information for the specific purposes set forth in this Consent, and Business is willing to grant such authorization on the terms and conditions set forth below.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. Definitions

1.1 "Authorized Materials" means those items, documents, identifiers and data specifically described in Section 2 and any attachments hereto that Business expressly permits Recipient to use. "Confidential Information" has the meaning set forth in Section 6.

2. Grant of Consent

2.1 Subject to the terms and conditions of this Consent, Business hereby grants Recipient a limited, non-exclusive, non-transferable, revocable right to use the Authorized Materials solely for the Purpose described below and only during the Term specified in Section 4. Recipient shall not use the Authorized Materials for any other purpose without prior written consent from Business.

Authority to execute specified documents on behalf of Business only to the extent expressly set out in a written schedule signed by Business.
Access to Business premises under supervision and subject to Business's security and safety rules.

4. Term

The authorization granted by this Consent commences on the Effective Date and shall continue for a period of unless earlier terminated in accordance with Section 11. Extensions or renewals must be agreed in writing by both Parties.

5. Consideration

The Parties acknowledge that this Consent is supported by consideration as follows (select or describe):

6. Representations and Warranties

Each Party represents and warrants to the other that: (a) it has full corporate power and authority to enter into and perform its obligations under this Consent; (b) execution and delivery of this Consent have been duly authorized by all necessary corporate or organizational action; and (c) this Consent constitutes a valid and binding obligation enforceable in accordance with its terms, except as may be limited by applicable bankruptcy, insolvency or similar laws.

7. Confidentiality

Recipient agrees to hold Confidential Information in strict confidence and not to disclose it to any third party except as authorized in writing by Business or as required by law. Recipient shall use at least the same degree of care that it uses to protect its own confidential information, but in no event less than reasonable care.

8. Data Protection and Compliance

To the extent Recipient receives personal data or regulated information in connection with the Authorized Materials, Recipient shall process such data only for the Purpose, implement appropriate technical and organizational measures to protect such data, and comply with all applicable laws and regulations governing data protection.

9. Indemnification

Recipient shall indemnify, defend and hold harmless Business and its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to Recipient's breach of this Consent, negligent acts or omissions, or unauthorized use of the Authorized Materials.

10. Limitation of Liability

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, AND EACH PARTY'S AGGREGATE LIABILITY SHALL BE LIMITED TO DIRECT DAMAGES NOT TO EXCEED THE AMOUNTS PAID OR PAYABLE UNDER THIS CONSENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

Either Party may terminate this Consent for convenience upon days' prior written notice to the other Party. Either Party may terminate immediately for material breach by the other Party that is not cured within days after written notice of such breach. Termination shall not relieve any Party of obligations accrued prior to termination.

12. Notices

All notices, requests, demands and other communications required or permitted under this Consent shall be in writing and delivered to the addresses set forth below or to such other address as a Party may designate by notice in accordance with this Section. Notice shall be deemed given upon receipt.

13. Amendments

Any amendment or modification to this Consent must be in writing and signed by authorized representatives of both Parties. No oral modification shall be effective.

14. Waiver

Failure or delay by a Party to exercise any right or remedy under this Consent shall not constitute a waiver of that right or remedy. A waiver is effective only if it is in writing and signed by the waiving Party.

15. Governing Law

This Consent shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflicts of law principles.

16. Entire Agreement

This Consent constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral, relating to such subject matter.

17. Severability

If any provision of this Consent is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired.

18. Counterparts

This Consent may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be effective to bind the signing Party.

19. Miscellaneous

Any provision that by its nature should survive termination or expiration of this Consent shall survive. The Parties are independent contractors and nothing in this Consent creates an agency, partnership or employment relationship.
