RECITALS

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

1. DEFINITIONS

1.1 "Business Purpose" means the lawful commercial purpose for which Client seeks to use Verifier's services, including the types of transactions, products, or services anticipated and the source of funds to be used in connection therewith.

1.2 "Prohibited Activities" means activities that are illegal under applicable law or expressly restricted by Verifier's policies, including but not limited to money laundering, terrorist financing, facilitation of unlawful narcotics distribution, or evasion of sanctions.

3. REPRESENTATIONS AND WARRANTIES

Client represents and warrants to Verifier that: (a) Client is duly formed, validly existing and in good standing under the laws of the jurisdiction identified above and has full corporate or other power and authority to execute and deliver this Verification and to perform its obligations hereunder; (b) the information provided in this Verification is true, complete and correct in all material respects as of the Effective Date and will remain true while any services are provided; (c) Client's Business Purpose is lawful and does not involve Prohibited Activities; and (d) Client will not use Verifier's services in any manner that violates applicable laws, regulations, or binding governmental orders.

4. USE RESTRICTIONS; PROHIBITED ACTIVITIES

Client covenants that it shall not use Verifier's services to facilitate Prohibited Activities. If Client has reason to suspect any transaction relates to unlawful activity, Client shall immediately cease the transaction and notify Verifier. Client acknowledges that Verifier may suspend or terminate services if Client's activities present a heightened legal, regulatory, or reputational risk.

5. COMPLIANCE AND RECORDKEEPING

Client shall maintain accurate books and records necessary to substantiate the Business Purpose and sources of funds for all transactions conducted through Verifier. Client agrees to retain records for a minimum period required by applicable law and to provide such records to Verifier within ten (10) business days upon request. Client shall notify Verifier promptly of any material change to the information provided in this Verification.

6. VERIFICATION; AUDIT RIGHTS

Verifier may, at reasonable times, request documentation, certifications, or other evidence reasonably necessary to verify Client's Business Purpose, operations, or compliance with this Verification. Client shall cooperate in good faith and provide requested materials within the time period specified by Verifier. Verifier's exercise of verification or audit rights shall be conducted in a manner designed to minimize disruption to Client's business and consistent with applicable confidentiality obligations.

7. INDEMNIFICATION

Client shall indemnify, defend and hold harmless Verifier and its officers, directors, employees and agents from and against any and all losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable attorneys' fees) arising out of or relating to (a) any breach of Client's representations, warranties or covenants contained in this Verification; (b) Client's use of Verifier's services in violation of law; or (c) Client's provision of false or misleading information to Verifier.

8. CONFIDENTIALITY

Subject to applicable law and regulation, each Party shall treat information disclosed by the other Party in connection with this Verification as confidential and shall not disclose such information to third parties except to its affiliates, advisors or as required by law. Verifier may disclose information to regulators or law enforcement where required.

9. NOTICES

Notices shall be in writing and delivered by hand, nationally recognized courier, or certified mail (return receipt requested) to the addresses above, or to such other address as a Party designates by written notice.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Verification shall be governed by and construed in accordance with the laws of Governing Jurisdiction: , without regard to conflict of laws principles. This Verification constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, proposals or agreements. If any provision of this Verification is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
