LEGAL CARD AUTHORIZATION FORM

This Legal Card Authorization Form (the "Agreement") is made effective as of Effective Date: by and between Cardholder Name: (the "Cardholder") and Company Name: (the "Company").

RECITALS

WHEREAS, Cardholder is the lawful holder or authorized signer of the payment card identified in this Agreement and desires to permit the Company to initiate charges against such card under the terms set forth herein; and

WHEREAS, Company provides services and accepts payment by electronic card and requires written authorization from Cardholder to process one-time or recurring charges; and

WHEREAS, the parties intend by this Agreement to set forth the scope, limits, and conditions of the Cardholder's authorization.

NOW THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Authorized Charges" means those charges described in Section 2 that Cardholder expressly permits Company to process against the Card. 1.2 "Card" means the payment card described in Section 3 and includes any replacement or renewal card issued to Cardholder for the same account.

2. AUTHORIZATION

Cardholder hereby authorizes Company to submit Authorized Charges to the Card in accordance with this Agreement. The scope of authorization is indicated below (select one or more where applicable):

One-time charge for a specified amount. Recurring charges until termination by Cardholder.

3. CARD DATA, TERM AND SCOPE OF CHARGES

Cardholder provides the following Card information and warrants that all information is true and complete and that Cardholder is authorized to permit charges on the Card identified below.

4. CARDHOLDER REPRESENTATIONS AND WARRANTIES

Cardholder represents and warrants that: (a) Cardholder is the lawful owner of the Card or is otherwise duly authorized to permit charges to the Card; (b) all information provided to Company is true, accurate, and complete; (c) use of the Card under this Agreement will not violate any agreement between Cardholder and any third party; and (d) Cardholder will promptly notify Company of any change in the Card information or revocation of authorization.

5. COMPANY OBLIGATIONS AND SECURITY

Company will process Authorized Charges only as expressly permitted in writing by Cardholder, will securely store Card data to the extent required by applicable payments industry standards, and will not disclose Cardholder's full card number or sensitive card data except as required to process charges or as required by law. Company will implement commercially reasonable administrative and technical safeguards to protect Cardholder data.

6. FEES, AUTHORIZATION LIMITS AND RECONCILIATION

Cardholder agrees to pay the amounts of Authorized Charges, plus any processing fees disclosed at the time of charge. Company will provide an itemized receipt or invoice for each charge upon request. Where an amount or frequency limit is set by Cardholder, Company will not exceed that limit.

7. LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, neither party will be liable for indirect, incidental, special or consequential damages arising out of this Agreement. Company's total liability for direct damages arising from Company's processing of charges under this Agreement shall not exceed the total amount actually paid or obligated under this Agreement during the six (6) month period preceding the event giving rise to the claim.

8. INDEMNIFICATION

Cardholder will indemnify, defend and hold Company harmless from and against any loss, liability, claim, damage or expense (including reasonable attorneys' fees) arising out of Cardholder's breach of this Agreement, fraudulent use of the Card, or misrepresentations made by Cardholder.

9. TERM; TERMINATION; REVOCATION

This Agreement commences on the Effective Date and continues until terminated by either party upon written notice. Termination does not affect the obligation of Cardholder to pay Authorized Charges already processed. Cardholder may revoke authorization by delivering written notice to Company, but revocation will not affect charges already submitted prior to receipt of such notice.

10. NOTICES

All notices required or permitted under this Agreement must be in writing and delivered to the addresses below by hand, certified mail, or overnight courier, and will be effective upon receipt.

11. AMENDMENTS; WAIVER; COUNTERPARTS

No amendment to this Agreement is binding unless in writing and signed by duly authorized representatives of both parties. The failure of either party to enforce any provision of this Agreement will not constitute a waiver of future enforcement. This Agreement may be executed in counterparts, each of which will be deemed an original.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement will be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. This Agreement constitutes the entire agreement between the parties relating to the subject matter herein and supersedes all prior agreements. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

13. ELECTRONIC AUTHORIZATION AND CERTIFICATION

By signing below, Cardholder certifies under penalty of perjury that Cardholder is authorized to use the Card, that all information provided is true and complete, and that Cardholder consents to the processing of charges in accordance with this Agreement. Cardholder acknowledges receipt of a copy of this Agreement.
