LEGAL CARD FORM

This Legal Card Form (the "Agreement") is entered into as of Effective Date: by and between Issuer Name: (Issuer), and Cardholder Name: , Cardholder Address: .

RECITALS

WHEREAS, Issuer is in the business of issuing compact legal identification cards that contain selected legal data and authorization indicators for the Cardholder; and

WHEREAS, Cardholder desires Issuer to prepare, issue and maintain a Legal Card containing specified legal information and limited authorization indicators for use as provided herein; and

WHEREAS, Issuer and Cardholder wish to set forth the terms governing issuance, permitted uses, confidentiality and termination of the Legal Card.

NOW THEREFORE, in consideration of the mutual promises contained in this Agreement and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Legal Card" means the physical or electronic card issued by Issuer that bears the Card Identification Number and such legal information and indicators as authorized by Cardholder and described in this Agreement.

1.2 "Authorized Use" means those uses reasonably necessary to effectuate the purposes set forth in Section 3 and expressly authorized in writing by Cardholder.

2. ISSUANCE AND IDENTIFICATION

Issuer shall prepare and issue one Legal Card to Cardholder bearing Card Identification Number: and containing the legal data specified in Section 4. Issuer warrants that the Card will conform to the specifications agreed by the parties at the time of issuance.

3. PERMITTED USES AND RESTRICTIONS

3.1 Cardholder authorizes use of the Legal Card only for Authorized Use. The Legal Card may not be altered, reproduced, loaned, or transferred except as expressly permitted in writing by Issuer and Cardholder.

5. CONFIDENTIALITY AND DATA HANDLING

5.1 Issuer shall treat all Cardholder data provided for issuance and maintenance of the Legal Card as Confidential Information. Issuer shall not disclose such Confidential Information except (a) as required by law, (b) to service providers under confidentiality obligations, or (c) with Cardholder's prior written consent.

5.2 Issuer shall implement reasonable administrative, technical and physical safeguards to protect Confidential Information against unauthorized access, disclosure, alteration or destruction.

6. TERM AND TERMINATION

6.1 This Agreement commences on the Effective Date and continues until terminated by either party upon thirty (30) days' written notice to the other party.

6.2 Issuer may immediately suspend or revoke the Legal Card if Issuer reasonably determines that continued use poses a material risk of fraud, misuse, or violation of law.

7. LIMITATION OF LIABILITY; INDEMNIFICATION

7.1 Except for willful misconduct or gross negligence, neither party shall be liable for consequential, incidental, special or punitive damages arising from this Agreement.

7.2 Cardholder shall indemnify, defend and hold harmless Issuer and its officers, directors and agents from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising from Cardholder's breach of this Agreement, misuse of the Legal Card, or misrepresentations to Issuer.

8. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice. Notices shall be deemed given upon personal delivery or three (3) business days after deposit with a nationally recognized courier.

9. AMENDMENTS; WAIVER; COUNTERPARTS

9.1 No amendment of this Agreement shall be effective unless in writing and signed by both parties. No waiver shall be effective unless in writing and signed by the party waiving compliance.

9.2 This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

10. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

10.1 This Agreement shall be governed by and construed in accordance with the laws of the state chosen by mutual agreement of the parties. The parties expressly exclude choice of law rules that would apply the law of another jurisdiction.

10.2 This Agreement constitutes the entire agreement between Issuer and Cardholder with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

10.3 If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect and the invalid provision shall be reformed only to the extent necessary to make it enforceable.
