LEGAL CASE CONFIRMATION

This Legal Case Confirmation (the Agreement) is entered into as of by and between Client Name: (the "Client"), and Law Firm / Attorney Name: (the "Firm"). The Client retains the Firm to provide legal services as set forth below.

RECITALS

WHEREAS, the Client requires legal representation and advice regarding the matter described as: (the "Matter");

WHEREAS, the Firm represents that it is duly licensed and qualified to provide legal services in the relevant jurisdiction and is willing to represent the Client subject to the terms and conditions set forth herein;

WHEREAS, the parties desire to confirm and memorialize the scope of representation, fee arrangement, and other terms applicable to the Firm's representation of the Client in the Matter.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

1. ENGAGEMENT; SCOPE OF REPRESENTATION

1.1 Engagement. The Client hereby engages the Firm to represent the Client in the Matter described above, and the Firm accepts such engagement. The Firm's representation is limited to the Matter and to those matters expressly agreed in writing.

1.2 Scope. The Firm will provide legal services including, but not limited to, legal research, drafting court pleadings and motions, client counseling, negotiation with adverse parties, and representation in hearings and trials as reasonably necessary to prosecute or defend the Matter. Activities outside the agreed scope will require separate written authorization.

3. FEES, RETAINER AND BILLING

3.1 Fee Arrangement. The Client agrees to compensate the Firm according to the fee arrangement selected below. The parties acknowledge that the Firm's hourly rates and billing policies are reasonable and customary.

3.2 Costs and Disbursements. Client shall be responsible for all out-of-pocket costs and disbursements incurred by the Firm on Client's behalf, including filing fees, deposition costs, expert fees, travel, and courier charges, unless otherwise agreed in writing. The Firm may request replenishment of the retainer to cover anticipated costs.

4. CLIENT REPRESENTATIONS AND RESPONSIBILITIES

4.1 Client Representations. The Client represents that all information provided to the Firm is true, complete and accurate to the best of the Client's knowledge, and that the Client will notify the Firm promptly of any material developments.

4.2 Cooperation. The Client agrees to cooperate fully with the Firm, to provide documents and information in a timely fashion, and to be available for consultations as reasonably requested. Failure to cooperate may justify withdrawal or termination of representation.

5. CONFLICTS, CONFIDENTIALITY AND PRIVILEGE

5.1 Conflicts. The Firm has conducted a conflicts check based on information provided by the Client. If a material conflict is subsequently discovered, the Firm may withdraw consistent with applicable rules of professional conduct.

5.2 Confidentiality and Privilege. The Firm will maintain the confidentiality of information provided by the Client and will assert the attorney-client privilege and work-product doctrine to protect communications and files to the extent permitted by law. The Client consents to the Firm's retention of copies of files after the conclusion of representation subject to the Firm's file retention policies.

6. TERM; TERMINATION

6.1 Term. This Agreement shall commence on the Effective Date and continue until the conclusion of the Matter or earlier termination as provided herein.

6.2 Termination. Either party may terminate the Firm's representation upon written notice. Client remains responsible for all fees and costs incurred through the date of termination, as well as any obligations set forth in fee agreements (including contingency fee provisions where applicable).

7. LIABILITY; INDEMNIFICATION

7.1 Limitation of Liability. The Firm's liability to the Client for negligent acts, errors or omissions shall be limited to direct damages and shall exclude consequential, punitive or exemplary damages to the fullest extent permitted by law. Nothing in this Agreement is intended to waive liability for willful misconduct or fraud.

7.2 Indemnification. The Client agrees to indemnify and hold the Firm harmless from claims arising from the Client's breach of this Agreement or from false statements or omissions made by the Client to the Firm.

8. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered by hand, registered mail, or overnight courier to the addresses set forth below or to such other address as either party may designate by written notice.

9. AMENDMENTS; WAIVER; COUNTERPARTS

9.1 Amendments. This Agreement may be amended only by a written instrument signed by both parties.

9.2 Waiver. No delay or omission in exercising any right or remedy shall operate as a waiver of such right or remedy, nor shall a waiver of any breach be a waiver of any subsequent breach.

9.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

10. GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below without regard to conflict of law principles. Any dispute arising out of or relating to this Agreement or the Firm's representation shall be resolved as follows:

Unless otherwise agreed in writing, the parties consent to the exclusive jurisdiction of the courts located in the jurisdiction designated above and waive any objection to venue.

11. ENTIRE AGREEMENT; SEVERABILITY

11.1 Entire Agreement. This Agreement, together with any separate written fee agreement referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations.

11.2 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
