This Legal Case Contract (the Agreement) is made and entered into as of , by and between Client Name: and Attorney/Firm Name: .

RECITALS

WHEREAS, Client seeks legal representation concerning the matter described below and desires to retain Attorney to perform professional legal services in accordance with the terms of this Agreement;

WHEREAS, Attorney is duly licensed to practice law and represents that Attorney has the experience and capability to represent Client in the matter and will perform services subject to the duties, limitations, and conditions set forth herein;

WHEREAS, the parties wish to define their respective rights and obligations with respect to fees, costs, confidentiality, and the scope of representation.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

1. ENGAGEMENT

Attorney is retained to provide legal services to Client with respect to the following matter (the Matter):

2. SCOPE OF SERVICES

Attorney shall provide legal representation in connection with the Matter as reasonably necessary, including legal research, drafting pleadings, court appearances, negotiations, and client communications. Services do not include unrelated matters unless agreed in writing.

3. FEES AND BILLING

Client agrees to compensate Attorney in accordance with one of the following fee arrangements selected below. The selected arrangement governs billing, recoveries, and adjustments.

Hourly fee at a rate of $ per hour for attorney time and for paralegal work at $ per hour.

Contingency fee of of gross recovery, subject to deduction of costs and expenses as set forth below.

Flat fee of $ for the agreed services, subject to adjustments if scope materially changes.

Billing statements will be rendered monthly and are due upon receipt. Client agrees that any undisputed amounts not paid within thirty (30) days may accrue interest at a rate permitted by law and may be subject to collection costs. Attorney may suspend services for nonpayment after written notice and opportunity to cure.

4. RETAINER AND TRUST ACCOUNT

Client shall pay an initial retainer to be held in Attorney's trust account in the amount of $ . Attorney will draw against the retainer as fees and costs are incurred and will provide periodic accounting statements showing retainer balance, deposits, and disbursements.

5. COSTS AND EXPENSES

Client shall be responsible for all court costs, filing fees, deposition fees, expert fees, investigator fees, courier charges, travel expenses, and other reasonable out-of-pocket expenses incurred in connection with the Matter. Attorney may advance such costs and seek reimbursement from Client or from any recovery obtained on Client's behalf.

6. CLIENT OBLIGATIONS

Client agrees to cooperate fully, provide all information and documentation reasonably requested by Attorney, attend proceedings, and to be candid in all communications. Client acknowledges that falsification, concealment, or failure to disclose material facts may result in termination of representation and potential legal consequences.

7. TERM AND TERMINATION

This Agreement commences on the Effective Date and continues until final resolution of the Matter or earlier termination. Either party may terminate this Agreement for any reason upon written notice. Upon termination, Client shall remain liable for fees and expenses incurred up to the date of termination and Attorney shall provide a final accounting and return any unearned retainer balance.

8. CONFIDENTIALITY

Attorney will maintain the confidentiality of client communications and privileged information to the full extent required by law. Client authorizes disclosure of confidential information only to the extent reasonably necessary to carry out representation, including disclosure to consultants, experts, and third-party vendors engaged for the Matter, provided such recipients are bound to maintain confidentiality.

9. CONFLICTS OF INTEREST

Attorney represents that Attorney is not aware of any current conflict of interest that would preclude representation. If a conflict subsequently arises, Attorney will notify Client and take appropriate action consistent with professional obligations. Client consents to representation subject to permitted conflicts and waivers documented in writing.

10. LIMITATION OF LIABILITY AND INDEMNIFICATION

Attorney's liability for damages arising out of this Agreement, whether in contract, tort, or otherwise, shall be limited to direct damages not exceeding the total fees paid by Client to Attorney under this Agreement, to the maximum extent permitted by law. Client agrees to indemnify, defend, and hold Attorney harmless from claims arising from Client's acts, omissions, or misrepresentations.

11. RECORDS, FILES, AND DOCUMENTS

Attorney will maintain files relating to the Matter. Client may request copies of client files; Attorney may retain originals and may charge reasonable copying and retrieval fees. Attorney may, after a reasonable period and notice, destroy closed files consistent with Attorney's records retention policy.

Client consents to Attorney's file retention and destruction policy as described above.

12. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or sent by certified mail, return receipt requested, to the addresses set forth below or to such other address as a party may specify by written notice.

13. AMENDMENTS AND WAIVER

No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and executed by both parties. The waiver of any breach shall not constitute a waiver of any subsequent breach.

14. COUNTERPARTS AND ELECTRONIC SIGNATURES

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Electronic signatures and scanned counterparts shall be treated as original signatures for all purposes.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

16. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the Matter and supersedes all prior and contemporaneous agreements, understandings, negotiations, and communications. If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect and the invalid provision shall be reformed to the minimum extent necessary to make it valid and enforceable.

17. MISCELLANEOUS

The headings in this Agreement are for convenience only and shall not affect interpretation. The parties acknowledge that they have had the opportunity to obtain independent legal advice prior to executing this Agreement.
