RECITALS

WHEREAS, a civil action has been filed in the court identified as bearing Case No. (the "Action"); and

WHEREAS, the Parties wish to reduce certain agreements, stipulations, and procedures concerning the Action to writing in order to streamline case management, preserve evidence, and, where applicable, resolve certain claims without further litigation; and

WHEREAS, the Parties acknowledge that this Agreement is not an admission of liability by any Party and that each Party expressly reserves all non-waived defenses and rights except as specifically released in this Agreement.

NOW, THEREFORE

In consideration of the mutual covenants and promises contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. DEFINITIONS

As used in this Agreement: (a) "Action" means the civil proceeding identified above; (b) "Confidential Information" means all non-public information disclosed in connection with the Action that is designated as confidential under this Agreement; (c) "Released Claims" means the claims expressly released in Section 6 below.

2. STIPULATED FACTS AND SCOPE

The Parties stipulate to the following material matters for purposes of the Action and for no other purpose: (a) the operative factual summary is set forth in the attached stipulation section below; and (b) the Parties agree that the facts so stipulated may be relied upon in motions and hearings subject to court approval.

3. PRESERVATION OF EVIDENCE

Each Party shall take all reasonable steps to preserve documents, electronically stored information, tangible things, and other materials reasonably anticipated to be relevant to the Action. This preservation obligation includes suspension of routine deletion and overwrite processes for relevant data sources and notice to custodians.

4. CONFIDENTIALITY

Subject to any order of the court, Confidential Information exchanged between the Parties in connection with the Action shall be maintained in confidence and used solely for the prosecution or defense of the Action. Confidential Information shall not be disclosed to third parties except as necessary for litigation purposes and only upon appropriate safeguards.

Designation Procedure: A Party that designates materials as Confidential Information must provide written notice at the time of production identifying the materials and the basis for confidentiality. Challenges to confidentiality designations shall be resolved in good faith and, if unresolved, by application to the court.

5. CASE MANAGEMENT & SCHEDULE

The Parties agree to cooperate in preparing a proposed schedule for the court addressing discovery, motions, and trial readiness. The Parties agree the following interim deadlines shall apply unless otherwise ordered by the court:

6. MUTUAL RELEASES AND RESERVATION OF RIGHTS

If the Parties have reached a settlement of claims, the Parties shall set forth the mutually agreed releases here. Unless explicitly released below, each Party expressly reserves all claims, defenses, and remedies.

7. ATTORNEYS' FEES, COSTS, AND TAXES

Unless otherwise agreed in writing, each Party shall bear its own attorneys' fees and costs incurred in the Action. Any agreement to the contrary must be set forth in a separate written instrument signed by both Parties.

8. NOTICES

All notices, requests, demands, or other communications required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below by hand delivery, certified mail (return receipt requested), or overnight courier.

9. AMENDMENT, WAIVER, AND SEVERABILITY

This Agreement may be amended only by a written instrument signed by both Parties. No failure or delay by any Party in exercising any right under this Agreement shall operate as a waiver. If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the substantive laws of the state identified below, without regard to conflict of laws principles.

11. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.

12. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile or electronic image shall be valid and binding.
