This Legal Case Information Form (the "Form") is entered into effective as of by and between Client Name: ("Client") and Attorney/Firm Name: ("Attorney").

RECITALS

WHEREAS, Client desires to obtain legal representation and to provide information and documents to Attorney concerning a matter identified below; and

WHEREAS, Attorney has agreed, subject to conflicts checks and the execution of any separate engagement letter, to accept and maintain the information provided by Client and to provide legal services limited to the scope set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants set forth in this Form, the parties agree as follows:

Client represents and warrants that the factual information and documents provided to Attorney are true, complete and accurate to the best of Client's knowledge; that Client has full authority to retain Attorney and to provide the disclosed information and documents; and that no other person or entity holds a proprietary right or lien that would preclude Attorney's representation as described herein. Client will promptly disclose any material change in facts or newly discovered documents relevant to the matter.

3. ATTORNEY ACKNOWLEDGMENT AND SCOPE

Attorney acknowledges receipt of the information provided above and agrees, subject to completion of conflicts checks and execution of any separate engagement letter, to consider representation on the matters described. Any engagement is limited to the scope expressly accepted in writing by Attorney. Attorney shall exercise professional judgment in providing legal advice and shall keep Client reasonably informed of material developments.

4. CONFIDENTIALITY AND PRIVILEGE

All communications and documents prepared in connection with Attorney's evaluation of the matter and any subsequent representation are intended to be privileged and confidential to the fullest extent permitted by law. Client recognizes that privilege may be waived if privileged materials are disclosed to third parties or if client-authorized disclosures occur. Attorney will not disclose confidential information except as authorized by Client or as required by law, ethics rules, or court order.

5. DOCUMENTS, EVIDENCE AND RETENTION

Client shall preserve original documents, evidence and electronic files related to the matter and shall promptly provide copies to Attorney when requested. Attorney may create attorney work product and, except as provided in any separate agreement, may retain copies of documents for file retention and administrative purposes as permitted by professional obligations.

6. NOTICES

Formal notices under this Form shall be in writing and delivered to the addresses set forth below. Notice is effective upon receipt. Each party may change its notice address by written notice to the other party.

7. AMENDMENTS; WAIVER; COUNTERPARTS

This Form may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party to be charged. This Form may be executed in counterparts and by electronic signature, each of which shall be deemed an original but all of which shall constitute one and the same instrument.

8. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Form shall be governed by and construed in accordance with the substantive laws of the jurisdiction specified by the parties: .
