LEGAL CASE PACKAGE

This Legal Case Package Transfer and Receipt Agreement ("Agreement") is made and entered into on this day of , by and between Delivering Party: , whose principal place of business or practice is ; and Receiving Party: , whose principal place of business or practice is .

RECITALS

WHEREAS, Delivering Party has possession, custody, and control of the case file and related materials, records, electronic data and other documents described in this Agreement (collectively, the "Case Package");

WHEREAS, Receiving Party has requested, and Delivering Party has agreed, to transfer the Case Package to Receiving Party for the purpose of continued prosecution, litigation, settlement negotiations, appeal, or related legal representation as set forth below; and

WHEREAS, the parties desire to set forth in writing the terms and conditions governing the transfer, receipt, use, custody, retention, and return or destruction of the Case Package.

NOW, THEREFORE

In consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, "Case Package" means all physical documents, digital files, correspondence, pleadings, discovery materials, evidence, expert reports, investigative materials, client originals, and any other tangible or intangible materials identified in Section 3 below or attached hereto.

2. TRANSFER OF MATERIALS

Delivering Party shall transfer possession of the Case Package to Receiving Party on the transfer date specified below. Delivering Party represents that it is lawfully authorized to transfer the materials and that no other person or entity holds an unremediated lien or other legal claim that would prevent transfer. Delivery shall be deemed complete upon physical handover or secure electronic transmission, as evidenced by signature and chain of custody documentation described in Section 5.

5. CONFIDENTIALITY AND PERMITTED USE

Receiving Party agrees that the Case Package shall be used solely for the legal matter identified in the recitals and for no other purpose. Receiving Party shall maintain the confidentiality of the Case Package and protect it using at least the same degree of care as it uses to protect its own confidential materials, but in no event less than reasonable care. Receiving Party shall not disclose privileged client communications except as required by law and shall notify Delivering Party promptly of any unauthorized disclosure or loss.

6. REPRESENTATIONS AND WARRANTIES

Each party represents that it has full authority to enter into this Agreement. Delivering Party represents that, to the best of its knowledge, the Case Package contains complete and accurate copies of the materials being transferred and that it has disclosed all known liens, holds, or other encumbrances affecting the materials.

8. INDEMNIFICATION

Receiving Party shall indemnify, defend, and hold harmless Delivering Party and its partners, employees and agents from and against all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Receiving Party's use, disclosure, or negligent custody of the Case Package, except to the extent caused by Delivering Party's gross negligence or willful misconduct.

9. RETURN OR DESTRUCTION

Upon conclusion of representation or upon written request from Delivering Party, Receiving Party shall return all physical materials and securely delete or return electronic files, except for one archival copy permitted to be retained for conflict-checking and record retention in compliance with professional obligations. If destruction is requested, Receiving Party shall certify destruction in writing within five (5) business days.

10. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by hand, certified mail, overnight courier, or email with confirmation. Notice is effective upon receipt.

11. AMENDMENTS AND WAIVER

This Agreement may be amended only by a written instrument signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party against whom enforcement is sought; the waiver of any breach shall not constitute a waiver of any subsequent breach.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to its conflicts of laws principles.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral, concerning that subject matter. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be deemed original signatures for purposes of this Agreement.
