WHEREAS, the parties wish to set forth an agreed framework of objectives, tasks, responsibilities, and timelines to facilitate efficient management of the matter while preserving Client's rights and adhering to applicable procedural rules.

NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. Scope and Objectives

1.1 Scope. Counsel shall provide legal services as necessary to pursue the objectives of the matter identified above including, without limitation, factual investigation, legal research, pleadings, discovery management, motion practice, settlement negotiations, pretrial preparation, and trial representation, subject to the terms of any separate engagement letter.

2. Case Strategy and Work Plan

2.1 Strategy. Counsel will adopt a strategy reasonably calculated to achieve the stated objectives while balancing cost, risk, and timing. Strategy elements may include targeted discovery, use of expert witnesses, phased motion practice, and settlement posture. Counsel will consult with Client prior to material strategic decisions.

3. Roles and Responsibilities

3.1 Client Responsibilities. Client shall timely provide truthful information, documents, and cooperation necessary for Counsel to perform. Failure to timely produce requested materials may justify revision of timelines or strategy.

3.2 Counsel Responsibilities. Counsel shall assign a lead attorney and support staff, manage deadlines, prepare filings, meet court and ethical obligations, and keep Client reasonably informed of material developments.

4. Key Milestones and Timeline

The parties agree to the following non-exhaustive milestones. Dates are target dates and may be adjusted by written amendment to this Plan.

5. Evidence Preservation, Discovery & Experts

5.1 Preservation. Client shall take reasonable steps to preserve all documents, electronically stored information, and tangible evidence relevant to the matter. Counsel shall identify specific categories of materials and deadlines for preservation and disclosure.

5.2 Experts. If experts are required, Counsel will propose retained experts, expected scope, and estimated fees. Retention of any expert shall require prior approval of Client when such retention would materially affect costs.

6. Confidentiality

6.1 Confidential Treatment. All communications between Client and Counsel, and work product prepared pursuant to this Plan, shall be treated as confidential and privileged to the extent permitted by law. Counsel shall take commercially reasonable measures to protect confidential materials.

7. Costs, Budget and Billing

7.1 Budget. Counsel shall provide an estimated budget for major phases upon Client request. That estimate is not a fixed fee unless expressly agreed in writing. Client remains responsible for fees and costs pursuant to any separate engagement agreement.

8. Notices

All notices required or permitted under this Plan shall be in writing and delivered to the addresses designated below by hand, certified mail, or other reliable delivery service, and shall be effective upon receipt.

9. Amendments; Waiver; Counterparts

9.1 Amendments. This Plan may be amended only by a written instrument signed by both parties. Oral modifications are void.

9.2 Waiver. No failure or delay by either party in exercising any right shall operate as a waiver. A waiver is effective only if in writing and signed by the party granting it.

9.3 Counterparts. This Plan may be executed in counterparts, each of which shall be deemed an original and all of which together constitute one instrument. Signatures exchanged by electronic means shall be effective as original signatures.

10. Governing Law; Entire Agreement; Severability

10.1 Governing Law. This Plan shall be governed by and construed in accordance with the laws of the jurisdiction in which the principal court for the matter sits, without regard to conflict of law principles.

10.2 Entire Agreement. This Plan constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings relating to the case plan.

10.3 Severability. If any provision of this Plan is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision accomplishing the original intent as closely as possible.
