RECITALS

WHEREAS, Party A provides goods and/or services and requires authorization to charge a credit card or similar payment instrument for fees, charges, or reimbursements arising from transactions between the parties; and

WHEREAS, Party B is the cardholder or authorized agent of the cardholder and agrees to provide card information and authorization under the terms set forth herein; and

WHEREAS, the parties wish to define their respective rights and obligations regarding authorization, confidentiality, dispute resolution, and liability for charges and payment processing.

NOW THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. AUTHORIZATION TO CHARGE

1.1 Cardholder Authorization. Cardholder hereby irrevocably authorizes Party A to charge the payment card described below for the amounts and on the schedule described in this Agreement. Cardholder represents that the card is a valid payment instrument and that Cardholder has authority to approve charges on the card.

2. CONFIDENTIALITY AND DATA SECURITY

2.1 Protection of Payment Data. Each party shall maintain appropriate administrative, technical, and physical safeguards designed to protect cardholder data from unauthorized access, disclosure, alteration, or destruction. Party A shall limit access to payment information strictly to persons with a need to know and shall process data only for the purposes expressly authorized by this Agreement.

2.2 Prohibited Uses and Disclosure. Neither party shall sell, rent, transfer, or otherwise disclose cardholder payment data to any third party except as required to process the payment, comply with legal obligations, or enforce the terms of this Agreement. Any permitted recipient shall be subject to confidentiality obligations no less protective than those herein.

3. REPRESENTATIONS AND WARRANTIES

3.1 Authority. Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations. Cardholder represents that provision of the card information and the charges authorized herein are for lawful purposes and that no fraudulent activity is involved.

3.2 Compliance. Each party shall comply with applicable laws, card brand operating rules, and payment card industry requirements applicable to the processing, storage, and transmission of payment data.

4. DISPUTES, CHARGEBACKS AND ADJUSTMENTS

4.1 Dispute Procedure. Cardholder shall notify Party A in writing within thirty (30) days after the date of any charge for which Cardholder seeks reversal, refund, or adjustment. Party A and Cardholder shall cooperate in good faith to resolve disputes and provide all reasonable documentation requested by the other party.

4.2 Chargebacks. Cardholder acknowledges that chargebacks may occur and, subject to applicable law and card network rules, Cardholder may be liable for chargebacks resulting from fraud, insufficient authorization, or failure to comply with chargeback prevention protocols.

5. TERM AND TERMINATION

5.1 Term. This Agreement is effective on the date first written above and shall remain in effect until all authorized charges have been completed, all disputes resolved, or until earlier terminated in accordance with this Section.

5.2 Termination for Cause. Either party may terminate this Agreement for material breach by the other party if such breach is not cured within fifteen (15) days after written notice specifying the breach.

6. INDEMNIFICATION; LIMITATION OF LIABILITY

6.1 Indemnification. Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, losses, liabilities, damages, fines, penalties and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, negligence, willful misconduct, or violation of applicable law.

6.2 Limitation of Liability. Except for liability arising from willful misconduct or indemnification obligations, neither party's aggregate liability for direct damages arising under this Agreement shall exceed the total amount actually paid or payable by Cardholder under this Agreement in the twelve (12) months preceding the event giving rise to the claim.

7. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may specify by notice. Notices are effective upon personal delivery, confirmed electronic transmission, or three (3) days after deposit with a nationally recognized overnight courier.

8. AMENDMENTS; WAIVER; COUNTERPARTS

8.1 Amendments. This Agreement may be amended only by a written instrument executed by both parties. No course of dealing or failure to enforce any provision shall constitute a waiver of that provision or any other provision.

8.2 Counterparts and Electronic Signatures. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. A signed copy transmitted by electronic means shall be admissible for all purposes and shall have the same force and effect as an original signature.

9. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

9.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

9.2 Entire Agreement. This Agreement, including any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, whether written or oral.

9.3 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

10. MISCELLANEOUS

10.1 Assignment. Neither party may assign this Agreement without the prior written consent of the other party, except that Party A may assign this Agreement to an affiliate or successor in interest in connection with a merger or sale of substantially all of its assets.

10.2 Remedies. The remedies provided in this Agreement are cumulative and not exclusive of any remedies available at law or in equity. Injunctive relief shall be available to prevent breaches of confidentiality or other irreparable harm.
