LEGAL CCA AGREEMENT

This Cost Contribution Agreement ("Agreement") is made and entered into as of Effective Date: by and between Party A: with principal place of business at , and Party B: with principal place of business at .

RECITALS

WHEREAS, the parties wish to cooperate in the development, testing and commercialization of certain technology and related activities described in the Scope of Contribution below; and

WHEREAS, each party desires to make specified contributions (financial, personnel, data, materials or services) to the joint activity and to allocate among themselves the costs and risks associated with such contributions in accordance with the terms of this Agreement; and

WHEREAS, the parties intend that the results of the joint activity, including any improvements and intellectual property, shall be owned and governed as set forth herein.

NOW, THEREFORE

In consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Contribution" means any cash payment, personnel time, equipment, materials, data, intellectual property or services provided by a party pursuant to this Agreement.

1.2 "Joint Activity" means the research, development, testing and related activities described in the Scope of Contribution that the parties have agreed to undertake jointly.

2. PURPOSE

The purpose of this Agreement is to set forth the terms under which the parties will make Contributions to the Joint Activity, allocate costs and expenses, manage resulting intellectual property and govern the conduct of the Joint Activity.

3. SCOPE AND CONTRIBUTIONS

4. ALLOCATION OF COSTS

4.1 Each party shall be responsible for its direct costs and expenses as set forth in the attachments and schedules to this Agreement. Indirect costs shall be allocated on the following basis unless otherwise agreed in writing: .

4.2 Where a party makes a cash Contribution to a common fund, such Contribution shall be recorded and disbursed solely for the purposes set forth in this Agreement. A party providing in-kind Contributions shall provide contemporaneous documentation of time and materials upon reasonable request.

5. RECORDS AND AUDIT

Each party shall maintain complete and accurate records relating to its Contributions, expenditures and activities under this Agreement for a period of no less than three (3) years following termination. Upon reasonable prior notice, a party shall have the right to inspect and audit the other party's records to verify contributions and allocations; such inspection shall be conducted during normal business hours and in a manner that minimizes disruption.

6. OWNERSHIP OF RESULTS AND INTELLECTUAL PROPERTY

6.1 Unless otherwise expressly agreed in a written attachment, intellectual property first conceived, reduced to practice or created solely by one party in the performance of its Contributions shall be owned by that party. Intellectual property arising from joint efforts shall be owned jointly, with ownership percentages corresponding to the parties' respective contributions as documented pursuant to Section 4.

6.2 Each party grants to the other a non-exclusive, non-transferable, royalty-free license to use Background Technology solely to the extent necessary to carry out the Joint Activity, subject to any mutually agreed confidentiality restrictions.

7. CONFIDENTIALITY

Each party shall keep confidential all information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not be disclosed to third parties and shall be used only for the purposes of exercising rights and performing obligations under this Agreement. Confidentiality obligations shall survive termination for a period of five (5) years, except that trade secrets shall be protected for so long as they qualify for trade secret protection.

8. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that (a) it has full corporate power and authority to enter into this Agreement; (b) the execution and performance of this Agreement do not and will not violate any agreement to which it is a party; and (c) to the best of its knowledge, its Contributions do not infringe any third-party intellectual property rights.

9. INDEMNIFICATION

Each party (the "Indemnifying Party") shall defend, indemnify and hold harmless the other party (the "Indemnified Party") from and against any losses, damages, liabilities or expenses (including reasonable attorneys' fees) arising out of a third-party claim to the extent such claim results from the Indemnifying Party's breach of this Agreement, gross negligence or willful misconduct.

10. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, breach of confidentiality or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages, and aggregate liability shall not exceed the total amount of cash Contributions made by the liable party under this Agreement during the twelve (12) months preceding the claim.

11. TERM AND TERMINATION

11.1 Term. This Agreement shall commence on the Effective Date and continue for an initial term of years, unless earlier terminated in accordance with this Section.

11.2 Termination for Convenience. Either party may terminate this Agreement for convenience upon days' prior written notice.

11.3 Effect of Termination. Upon termination, the parties shall cooperate to wind down the Joint Activity in an orderly manner, complete outstanding obligations, and settle outstanding cost allocations. Termination shall not relieve either party of liability for breaches occurring prior to termination.

12. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below by certified mail, overnight courier or personal delivery, and shall be effective upon receipt.

13. AMENDMENTS; WAIVER

Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right, unless such waiver is in writing and signed by the waiving party.

14. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law.

16. ENTIRE AGREEMENT

This Agreement, together with all exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

17. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect and shall be construed so as to give effect to the intent of the parties to the maximum extent permitted by law.

18. MISCELLANEOUS

The headings in this Agreement are for convenience only and shall not affect interpretation. References to "including" shall mean "including without limitation." The obligations and rights under this Agreement are binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
