LEGAL CD SPECIFICATIONS

This Legal CD Specifications Agreement (the "Specifications") is entered into as of between Producer Name: with principal address , and Recipient Name: with principal address .

RECITALS

WHEREAS, Producer possesses electronic files, recordings, documents and related metadata described in Exhibit A (the "Data") intended for delivery to Recipient in a physical optical medium format; and

WHEREAS, the parties desire to reduce to writing the technical, labeling, chain-of-custody and acceptance specifications for production of the Data on compact disc media and associated manifest documents; and

WHEREAS, the parties intend that adherence to these Specifications shall constitute delivery for purposes of their underlying engagement or litigation production obligations.

NOW, THEREFORE

In consideration of the mutual covenants set forth below, the parties agree as follows:

1. DEFINITIONS

1.1 "Media" means the physical optical discs (CD-R or other as specified) and any accompanying carrier or sleeve. "Manifest" means the human- and machine-readable file listing and checksum file delivered with the Media. "Hash" means the digest computed using the algorithm specified in Section 4.1.

2. SPECIFICATIONS OF CONTENT

2.1 File Formats and Encoding. Producer shall deliver files in the following formats and encodings: Format(s): ; Text encoding: .

2.3 File Naming Convention. Files shall be named using the convention: , and shall not contain spaces or system-reserved characters.

3. MEDIA AND LABELING

4. MANIFEST, HASHING, AND ENCRYPTION

5. CHAIN OF CUSTODY AND PACKAGING

5.1 Chain of Custody Log. Producer shall generate and retain a chain-of-custody log for each Media set identifying the preparer, burn station identifier, serial numbers, date and time of burn, and recipient signature on delivery.

5.3 Packaging. Media shall be individually sleeved, placed in numbered containers, and accompanied by a printed manifest. Packaging shall be marked Confidential when the Data contains nonpublic or privileged information.

6. ACCEPTANCE AND TESTING

6.1 Inspection Period. Recipient shall have calendar days from receipt to inspect the Media and either accept in writing or notify Producer of deficiencies.

6.2 Acceptance Criteria. Acceptance will be based on conformity to the file formats, directory structure, manifest checksums, and ability to read files on commonly available platforms. If Recipient demonstrates nonconformity, Producer shall remedy at Producer's expense within a commercially reasonable period.

7. WARRANTIES AND LIMITATION OF LIABILITY

7.1 Producer warrants that, to the best of its knowledge, the Media contains the Data described in Exhibit A and that manifest checksums accurately reflect the files on the Media. Producer MAKES NO OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

7.2 Limitation of Liability. Except for willful misconduct or gross negligence, liability for direct damages arising out of delivery of Media shall be limited to the cost of reproduction and re-delivery not to exceed .

8. CONFIDENTIALITY

8.1 Both parties shall treat the Data and any information regarding the production and chain-of-custody as confidential and shall not disclose to third parties except as required by law, court order, or with prior written consent of the producing party.

9. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses below by hand, commercial courier, or certified mail, return receipt requested.

10. AMENDMENTS; WAIVER; COUNTERPARTS

10.1 Amendments. These Specifications may be amended only by a written instrument signed by both parties.

10.2 Waiver. A waiver of any provision or breach shall be effective only in a writing signed by the party granting the waiver.

10.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

11.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflict of law principles.

11.2 Entire Agreement. These Specifications constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements and understandings relating to the delivery of Data on Media.

11.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. COSTS AND EXPENSES

Unless otherwise agreed, Producer shall bear the cost of media production and initial shipment. Additional re-delivery costs occasioned by Producer's failure to conform shall be borne by Producer.
