This Confidential Disclosure Agreement (the "Agreement") is entered into as of by and between Disclosing Party: with principal address , and Receiving Party: with principal address .

RECITALS

WHEREAS, Disclosing Party possesses certain technical, financial, business and other proprietary information that is confidential and valuable; and

WHEREAS, Receiving Party desires to receive such information for the limited purpose described below and agrees to protect the confidentiality of that information in accordance with the terms of this Agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the disclosure and protection of Confidential Information.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

1. DEFINITIONS

"Confidential Information" means all non-public information disclosed by Disclosing Party to Receiving Party, whether disclosed orally, visually, in writing, or by any other means, including but not limited to technical data, trade secrets, product plans, business forecasts, customer lists, financial information and any analyses, compilations, studies or other documents prepared by Receiving Party that contain or otherwise reflect such information. Confidential Information does not include information that:

(a) is or becomes generally available to the public other than as a result of a breach of this Agreement by Receiving Party; (b) was known to Receiving Party without restriction prior to disclosure as evidenced by written records; (c) is rightfully received from a third party without restriction and without breach of an obligation of confidentiality; or (d) is independently developed by employees of Receiving Party who had no access to the Confidential Information.

The Confidential Information shall be used by Receiving Party solely for the following purpose:

3. OBLIGATIONS OF RECEIVING PARTY

Receiving Party shall: (a) hold and maintain the Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as permitted by this Agreement; (c) restrict access to Confidential Information to those of its employees, contractors or agents who have a strict need to know for the Purpose and who are bound by confidentiality obligations at least as protective as those herein; and (d) use at least the same degree of care to protect the Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

4. PERMITTED DISCLOSURES

Receiving Party may disclose Confidential Information to the extent required by law, regulation or valid court order, provided that Receiving Party gives Disclosing Party prompt written notice of such requirement to allow Disclosing Party to seek protective relief and cooperates reasonably with Disclosing Party in such efforts. Any public disclosure pursuant to this paragraph shall be limited to the portions that are legally required to be disclosed.

5. TERM; SURVIVAL

This Agreement shall commence on the Effective Date specified above and shall continue for years from that date, unless earlier terminated by mutual written agreement. Notwithstanding termination, Receiving Party's obligations with respect to Confidential Information shall survive for a period of years from the date of disclosure, or for so long as such information remains a trade secret under applicable law, whichever is longer.

6. RETURN OR DESTRUCTION

Upon Disclosing Party's written request or upon termination of this Agreement, Receiving Party shall promptly return or, at Disclosing Party's option, destroy all materials containing Confidential Information and shall certify in writing to Disclosing Party that such materials have been returned or destroyed within .

Receiving Party may retain one archival copy of Confidential Information solely for compliance purposes, provided such copy remains subject to the terms of this Agreement.

7. REMEDIES

Receiving Party acknowledges that any breach of this Agreement may cause irreparable harm to Disclosing Party for which monetary damages would be inadequate, and agrees that Disclosing Party shall be entitled to seek injunctive relief, specific performance and other equitable remedies in addition to any other remedies available at law or in equity. The parties agree that the availability of injunctive relief shall not preclude the recovery of damages.

8. NO LICENSE

Nothing in this Agreement shall be construed as granting any license, conveyance or other right to the Receiving Party under any patent, trademark, copyright, trade secret or other intellectual property right of Disclosing Party, except as expressly set forth herein.

10. AMENDMENTS; WAIVER

No amendment or modification of this Agreement shall be valid unless made in a writing signed by authorized representatives of both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right, nor shall any single or partial exercise of any right preclude other or further exercise of that right.

11. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remainder of the Agreement shall remain in full force and effect and such invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the parties' original intent.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

13. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures provided by electronic means shall be deemed original signatures for all purposes.

14. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral, relating to the subject matter.

MISCELLANEOUS

Each party represents that it has the authority to enter into this Agreement. The parties agree that any dispute arising under or related to this Agreement shall first be addressed through good faith negotiations between senior executives before resorting to formal dispute resolution.
