LEGAL CDD DOCUMENT

This Customer Due Diligence Agreement (the "Agreement") is entered into on this date: Day: Month: Year: by and between Service Provider Name: and Client Name: (collectively, the "Parties").

RECITALS

WHEREAS, Service Provider is engaged in the provision of financial and/or account services that are regulated and require the application of customer due diligence procedures by law and internal policy;

WHEREAS, Client seeks to establish a business relationship with Service Provider and, in connection with that relationship, must provide accurate and complete identification, ownership, and source-of-funds information to enable Service Provider to satisfy applicable due diligence obligations;

WHEREAS, the Parties desire to set forth the information, certifications, consents and warranties necessary to permit Service Provider to perform its customer due diligence and ongoing monitoring obligations;

NOW, THEREFORE

In consideration of the mutual covenants contained herein, the Parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below: "Client" means the party identified above as Client Name; "Service Provider" means the party identified above as Service Provider Name; "Beneficial Owner" means any natural person who directly or indirectly owns or controls ten percent (10%) or more of the ownership interests of the Client or otherwise exercises significant influence or control over the Client.

Client shall identify all Beneficial Owners and provide supporting identification and verification documentation. For each Beneficial Owner, Client shall provide full legal name, date of birth, nationality, residential address, percentage ownership or control, and identification document details.

4. SOURCE OF FUNDS, PURPOSE AND EXPECTED ACTIVITY

5. RISK SCREENING AND ONGOING MONITORING

Service Provider will conduct risk-based screening, including but not limited to sanctions, politically exposed persons (PEP) checks, adverse media searches, and transaction monitoring. Client acknowledges that Service Provider may classify Client as higher risk based on jurisdiction, ownership, industry, or transaction profile and that higher risk classification may require enhanced due diligence.



6. REPRESENTATIONS, WARRANTIES AND COVENANTS

Client represents and warrants to Service Provider that: (a) all information and documentation provided to Service Provider is true, complete and not misleading as of the date provided; (b) Client is not subject to any economic sanctions, trade restrictions, or similar prohibitions that would restrict Service Provider’s ability to perform services; (c) Client will promptly notify Service Provider in writing of any material change to any information provided under this Agreement; and (d) Client will cooperate with reasonable requests for additional information or documentation needed to satisfy legal or regulatory obligations.

7. CERTIFICATIONS, CONSENT AND AUTHORIZATIONS

By signing below, Client certifies under penalty of perjury that the information supplied is accurate and complete, and authorizes Service Provider to obtain, verify and retain such information and to disclose such information to regulators, law enforcement or other third parties where required by law or regulation. Client further authorizes Service Provider to perform background and sanctions screening, credit and identity checks and to use third-party vendors to perform any such verifications.

8. CONFIDENTIALITY AND DISCLOSURES

Subject to legal and regulatory obligations, Service Provider will treat Client information as confidential and will not disclose such information except (a) as required by applicable law or regulation, (b) to its auditors, legal counsel or contractors performing services for Service Provider provided such recipients are subject to confidentiality obligations, or (c) with Client’s prior written consent.

9. RECORDKEEPING

Client acknowledges that Service Provider will retain copies of identification and verification materials, transaction records and related information for the period required by applicable law or regulation and for a commercially reasonable period thereafter.

10. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a Party may designate in writing. Notice shall be effective upon receipt.

11. AMENDMENT; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Agreement will be effective unless in writing and signed by both Parties. Failure or delay by either Party to exercise any right shall not be a waiver of that right. This Agreement may be executed in counterparts and each counterpart shall be deemed an original and all counterparts taken together shall constitute one instrument.

12. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the substantive laws of the jurisdiction selected by the Parties without regard to conflict of laws principles. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior discussions and agreements.

13. MISCELLANEOUS PROVISIONS

Client agrees to promptly provide any additional information or documentation reasonably requested by Service Provider for the purpose of complying with applicable laws, regulations and internal policies. Client acknowledges that Service Provider may suspend or terminate services where Client fails to provide required information or where circumstances warrant under applicable law.
