2.1 Provider hereby certifies, represents and warrants to Recipient, as of the Effective Date and as of the date of any reliance by Recipient, that the facts set forth in this Section 2 are true, complete and accurate in all material respects. Provider certifies the following particulars:

3. RELIANCE; LIMITS ON RELIANCE

3.1 Recipient shall be entitled to rely upon the Certificate and the representations and warranties contained herein without independent investigation, except that Recipient shall not be entitled to rely on any representation or statement of Provider made in bad faith or with knowledge of falsity.

3.2 The Certificate is given solely for the benefit of Recipient and its successors and permitted assigns in connection with the purposes stated in the Recitals. No third party shall have any rights hereunder unless expressly agreed in writing by Provider and Recipient.

4. REPRESENTATIONS AND WARRANTIES

Provider represents and warrants to Recipient that: (a) the execution and delivery of this Confirmation and the performance of Provider's obligations do not violate Provider's organizational documents or any law or agreement to which Provider is subject; (b) there are no actions, suits or proceedings pending or, to Provider's knowledge, threatened against Provider that would reasonably be expected to impair the validity or enforceability of the Certificate; and (c) the information set forth in the Certificate is accurate and complete in all material respects.

5. COVENANTS

Provider covenants to notify Recipient in writing within days after Provider becomes aware of any matter that would cause any representation or certification contained in this Confirmation to be untrue or misleading in any material respect.

6. INDEMNIFICATION

Provider shall indemnify, defend and hold harmless Recipient and its officers, directors, employees and agents from and against any Losses arising out of or resulting from any breach of Provider's certifications, representations, warranties or covenants in this Confirmation, except to the extent any such Losses result solely from Recipient's gross negligence or willful misconduct.

7. LIMITATION OF LIABILITY

IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, EXEMPLARY OR PUNITIVE DAMAGES, EXCEPT FOR LIABILITY ARISING FROM FRAUD, WILLFUL MISCONDUCT, OR A BREACH OF THE INDEMNIFICATION OBLIGATIONS SET FORTH IN SECTION 6.

8. NOTICES

All notices, requests, demands and other communications under this Confirmation shall be in writing and shall be deemed given when delivered personally, by nationally recognized overnight courier, or three (3) business days after deposit in certified mail, return receipt requested, postage prepaid, to the addresses set forth below or to such other address as a party may designate by notice to the other party.

9. GOVERNING LAW

This Confirmation shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

10. ENTIRE AGREEMENT; SEVERABILITY
