RECITALS

5. COVENANTS; PERFORMANCE

5.1. Each party shall perform its obligations in accordance with the timelines and specifications set forth in the Summary of Agreement and shall use commercially reasonable efforts to cure any failure to perform.

5.2. Time is of the essence with respect to all material obligations under this Certificate.

6. CONFIDENTIALITY

6.1. Each party shall hold Confidential Information in strict confidence and shall not disclose such information to any third party except as required by law or with the prior written consent of the disclosing party.

6.2. The obligations in this Section shall survive termination or expiration of this Certificate for a period of three (3) years or for such longer period as may be required by applicable law with respect to trade secrets.

7. INDEMNIFICATION

Each party (Indemnitor) shall indemnify, defend and hold harmless the other party (Indemnitee) from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to the Indemnitor's breach of its representations, warranties or covenants under this Certificate, except to the extent such losses result from the Indemnitee's own gross negligence or willful misconduct.

8. LIMITATION OF LIABILITY

Except for liability arising from fraud, willful misconduct, or a party's indemnification obligations hereunder, in no event shall either party be liable to the other for incidental, consequential, punitive or special damages, and each party's aggregate liability arising out of or related to this Certificate shall be limited to direct damages not to exceed the total amount of consideration actually paid or payable under this Certificate.

9. NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice pursuant to this Section.

10. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Certificate shall be effective unless in writing and signed by the duly authorized representatives of both parties. No failure or delay by either party in exercising any right will operate as a waiver of such right.

11. GOVERNING LAW

This Certificate shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

12. COUNTERPARTS; ELECTRONIC EXECUTION

This Certificate may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument. Execution and delivery by electronic signature shall have the same force and effect as an original signature.

13. ENTIRE AGREEMENT
