Any revocation or correction shall not affect the validity of actions taken in reliance on this Certificate prior to receipt of such notice, provided such reliance was reasonable and in good faith.

7. REPRESENTATIONS AND WARRANTIES

The Certifying Party represents and warrants that: (a) it has full corporate or organizational power and authority to issue this Certificate; (b) the person signing on behalf of the Certifying Party is duly authorized to do so; and (c) to the best of the Certifying Party's knowledge after due inquiry, the facts certified in Section 2 are true and correct as of the Effective Date.

8. INDEMNIFICATION

The Certifying Party agrees to indemnify and hold harmless the Confirmed Party and any Relying Party from and against any losses, claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of any material breach of the representations or warranties contained in Section 7, except to the extent such losses arise from the Confirmed Party's or a Relying Party's gross negligence or willful misconduct.

9. NOTICES

All notices pursuant to this Certificate shall be given in writing and shall be deemed delivered when received by certified mail, courier, personal delivery, or by confirmed electronic transmission to the addresses set forth above or such other address as a party may specify in writing.

10. GOVERNING LAW

This Certificate shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below, without regard to conflict of law principles.
