Creditor shall indemnify, defend and hold harmless Debtor and any recording official from and against all claims, costs, damages and liabilities (including reasonable attorneys' fees) arising from any misrepresentation by Creditor in this Certificate or from any failure by Creditor to perform its obligations under this Certificate.
  6. Further Assurances. Each party agrees to execute, acknowledge and deliver such additional instruments and to take such actions as may be reasonably necessary to consummate the releases and discharges contemplated by this Certificate.

Notices shall be in writing and shall be deemed given when personally delivered, when received if sent by certified mail or when delivered by a nationally recognized overnight courier to the addresses provided above or to such other address as a party may designate by written notice in accordance with this section.

Governing Law. This Certificate shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles that would apply the laws of another jurisdiction.
