RECITALS

1. DEFINITIONS

"Effective Date" means the date set forth above.

2. CERTIFICATION; REPRESENTATIONS AND WARRANTIES

2.1 Certification. Certifying Party certifies, represents and warrants that, to the best of its knowledge after reasonable inquiry, the Certified Information provided to Recipient is true, complete and accurate in all material respects as of the Effective Date, and fairly presents the facts and circumstances to which it pertains.

2.2 Material Changes. Certifying Party shall promptly notify Recipient in writing of any material change in the Certified Information that occurs following the Effective Date and within days of discovery of such change.

2.3 Truthful Attestation. Certifying Party affirms under penalty of perjury that the factual statements set forth in the Certification are true and that no material fact has been omitted that would render the Certification misleading.

3. SCOPE OF CERTIFICATION AND DELIVERABLES

3.1 Scope. The Certification shall include the following deliverables and documentation: supporting schedules, attestation letter, and copies of source records as specified in the schedule below.

3.2 Format and Timing. All Certification deliverables shall be delivered in the form and manner reasonably requested by Recipient and within calendar days following request unless otherwise agreed in writing.

4. COMPLIANCE WITH LAWS; STANDARDS

Certifying Party warrants that all Certified Information has been prepared in compliance with applicable laws, regulations, and industry standards reasonably applicable to the subject matter of the Certification. Certifying Party shall cooperate with Recipient in connection with any regulatory inquiries directly related to the Certified Information.

5. AUDIT AND VERIFICATION RIGHTS

Recipient shall have the right, upon reasonable notice and during normal business hours, to audit and inspect the Certified Information and supporting records. Certifying Party agrees to provide access to such records and to designated personnel to permit verification of the Certification. Any such audit shall be conducted in a manner that minimizes disruption to Certifying Party's operations.

6. INDEMNIFICATION

Certifying Party shall indemnify, defend and hold harmless Recipient and its officers, directors, agents and employees from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of any material inaccuracy, omission, or breach of the representations and warranties contained in this Certification.

7. CONFIDENTIALITY

Unless otherwise required by law or regulatory authority, Recipient shall maintain the Certified Information in confidence and shall use it solely for the purposes expressly permitted by this Certification. Disclosure of Certified Information shall be limited to those employees, agents or professional advisors with a need to know who are subject to binding confidentiality obligations.

8. LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence or obligations under Section 6 (Indemnification), in no event shall either party be liable for consequential, incidental, special or punitive damages even if advised of the possibility of such damages. The aggregate liability of Certifying Party for any claim arising under this Certification shall not exceed the fees actually paid by Recipient to Certifying Party for the Certification.

9. TERM AND TERMINATION

This Certification shall commence on the Effective Date and remain in effect until the earlier of the completion of the Certification obligations or termination by either party for material breach following thirty (30) days' written notice and failure to cure within that period.

All notices permitted or required under this Certification shall be in writing and delivered to the addresses set forth below:

This Certification may be amended, modified or supplemented only by an instrument in writing signed by both parties. No failure or delay by either party in exercising any right under this Certification shall operate as a waiver thereof. This Certification may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Certification shall be governed by and construed in accordance with the laws of the jurisdiction specified as , without regard to conflict of laws principles. This Certification constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings and representations. If any provision of this Certification is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
