RECITALS

WHEREAS, Client Name has requested that Certifying Party provide a written certification concerning certain matters described herein to induce Client Name to rely upon the representations and statements certified by Certifying Party; and

WHEREAS, Certifying Party has represented that it has access to, and has examined, the records, instruments, contracts, and other materials set forth in the list of certified documents below and is authorized to provide the certification contained in this Letter; and

WHEREAS, the parties desire to set forth the terms and conditions under which Certifying Party will provide such certification and Client Name may rely upon it.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Letter, the following terms shall have the meanings set forth below: "Certification" means the written statement in Section 2 below; "Certified Documents" means the documents and records described in the list provided by Certifying Party and attached to or incorporated by reference in this Letter; and "Recipient" means Client Name and its authorized representatives.

2. CERTIFICATION

Certifying Party hereby certifies that, as of the Effective Date stated above, the statements set forth in this Section 2 are true and correct to the best of Certifying Party's knowledge and belief:

(a) Certifying Party has examined the Certified Documents and, except as expressly disclosed in the Certification Exceptions field below, such documents accurately and materially reflect the matters they purport to evidence.

3. REPRESENTATIONS AND WARRANTIES

Certifying Party represents and warrants to Client Name that: (a) Certifying Party is duly organized, validly existing and in good standing under the laws of its jurisdiction of organization; (b) this Letter has been duly authorized, executed and delivered by Certifying Party and constitutes a valid and binding obligation enforceable in accordance with its terms; and (c) the execution and performance of this Letter will not constitute a breach of, or default under, any agreement, law, judgment or order applicable to Certifying Party.

4. LIMITATIONS, DISCLAIMERS, AND SCOPE OF RELIANCE

The Certification is limited to the matters expressly covered in Section 2 and the Certified Documents. Except as expressly set forth in Section 2, Certifying Party makes no other representations or warranties, express or implied, including but not limited to implied warranties of fitness for a particular purpose or merchantability. Client Name shall not rely on any oral statements by Certifying Party that are inconsistent with this Letter.

5. USE AND RELIANCE

Client Name may rely on the Certification solely for the purpose stated in the Scope of Certification field above. Any other person or entity shall not have the right to rely upon the Certification without the prior written consent of Certifying Party. Client Name agrees that any use of the Certification outside the permitted purpose is at Client Name's sole risk.

6. TERM

The obligations of Certifying Party under this Letter shall commence on the Effective Date and shall continue until unless earlier terminated by mutual written agreement of the parties.

7. INDEMNIFICATION

Certifying Party shall indemnify, defend and hold harmless Client Name and its officers, directors and agents from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) directly resulting from a breach of any representation, warranty or certification made by Certifying Party in this Letter, except to the extent caused by Client Name's gross negligence or willful misconduct.

8. NOTICES

All notices, requests, demands and other communications under this Letter shall be in writing and shall be delivered to the addresses set forth below or to such other address as either party may designate by notice to the other in accordance with this Section.

9. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Letter shall be effective unless in writing and signed by both parties. No waiver by either party of any breach shall be deemed a waiver of any other or subsequent breach.

10. GOVERNING LAW

This Letter shall be governed by and construed in accordance with the laws of the state of , without giving effect to conflict of laws principles that would result in the application of any other law.

11. ENTIRE AGREEMENT

This Letter constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, of the parties.

12. SEVERABILITY

If any provision of this Letter is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be interpreted so as to give effect to the intent of the parties insofar as possible.
