7. INDEMNIFICATION

Each party shall indemnify and hold harmless the other party from and against any losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of any misrepresentation of fact, breach of this Certification, or bad faith conduct by the indemnifying party in connection with the matters certified herein, except to the extent caused by the non-indemnifying party's gross negligence or willful misconduct.

8. CONFIDENTIALITY

Except as required by law or legal process, the parties agree to keep confidential the contents of this Certification, the attachments, and any nonpublic information disclosed in connection with the certification, subject to necessary disclosures to counsel and advisors under appropriate confidentiality obligations.

9. AMENDMENTS; WAIVER; COUNTERPARTS

This Certification may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
