Certified Party certifies, represents and warrants to Recipient that, to the best of Certified Party's knowledge after reasonable inquiry, the statements, facts and documents identified in the Certification Description below are true, accurate, complete and not misleading in any material respect as of the Effective Date.

1.2 Scope. The certification covers only the matters expressly described in the Certification Description and does not extend to other facts, events, or documents not specifically identified therein.

2. REPRESENTATIONS AND WARRANTIES

2.1 Authority. Certified Party represents and warrants that it has the full power and authority to execute and deliver this Statement and to perform its obligations hereunder. Certified Party further warrants that the person executing this Statement on behalf of Certified Party is duly authorized to bind Certified Party.

2.2 Accuracy. Certified Party represents that all statements made in the Certification Description are true and correct in all material respects and that there are no material omissions that would render such statements misleading.

3. COVENANTS

3.1 Continuing Obligation. Certified Party covenants to promptly notify Recipient in writing of any change, event or circumstance that would cause any representation or statement in the Certification Description to become materially inaccurate or incomplete.

3.2 Cooperation. Certified Party shall cooperate reasonably with Recipient, at Recipient's expense, to provide such supporting documentation or access to information as Recipient reasonably requests to verify the Certification Description.

4. USE AND RELIANCE

4.1 Permitted Reliance. Recipient and its successors, assigns, and affiliates may rely on the certification only for the purposes expressly stated in this Statement. Any other use or disclosure by Recipient is at Recipient's sole risk.

4.2 No Third-Party Beneficiaries. Except as expressly provided herein, no person or entity other than Recipient is intended to be a beneficiary of the certification or to obtain any rights hereunder.

5. CONFIDENTIALITY

5.1 Confidential Treatment. Unless otherwise required by law, Recipient will treat the Certification Description and any supporting materials produced by Certified Party as confidential and will not disclose them except (a) to its legal or financial advisors who are bound to confidentiality, (b) as required by law or court order, or (c) with prior written consent of Certified Party.

6. INDEMNIFICATION

6.1 Indemnity by Certified Party. Certified Party shall indemnify, defend and hold harmless Recipient, its officers, directors and employees from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of any material breach of the representations, warranties or covenants contained in this Statement or any materially false or misleading statement made in the Certification Description.

7. REMEDIES

7.1 Equitable Relief. Recipient shall be entitled to seek injunctive or other equitable relief to prevent or remedy any breach of the obligations under this Statement in addition to any other remedies available at law or in equity.

7.2 Limitation. Except for damages arising from intentional misrepresentation or willful breach, neither party shall be liable for consequential or punitive damages.

8. NOTICES

All notices or other communications required or permitted under this Statement shall be in writing and delivered to the addresses set forth below by hand, certified mail, courier, or email where receipt is acknowledged.

9. GOVERNING LAW; VENUE

This Statement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Statement.

10. ENTIRE AGREEMENT; SEVERABILITY
