RECITALS

2. CERTIFICATION

2.1 Subject to the limitations set forth in this Certification, Certifying Party hereby certifies, represents and warrants to Recipient Party that, to the best of Certifying Party's knowledge after reasonable inquiry, the following statements are true, accurate and complete as of the date hereof and as of the Certification Period start date: (a) all documents delivered and identified in Attachment A are genuine and unchanged except as expressly noted; (b) the factual statements identified in Attachment B are true and accurate in all material respects; and (c) Certifying Party has full authority to make the certifications set forth herein.

2.2 The certifications in Section 2.1 are made solely with respect to the Certified Matters and shall not be construed as a warranty of future performance, future compliance, or the absence of undisclosed matters except as expressly stated in writing.

3. SCOPE, LIMITATIONS AND EXCLUSIONS

3.1 The certification provided is based on information reasonably available to Certifying Party at the time of execution. Certifying Party does not undertake any obligation to update or supplement this Certification except by written amendment executed by both parties.

3.2 The parties acknowledge that the Certifying Party's obligations are limited to the scope of the Certified Matters and that no third party may rely on this Certification unless such reliance is expressly consented to in writing by Certifying Party.

4. REPRESENTATIONS AND WARRANTIES

4.1 Certifying Party represents and warrants that (a) it is duly organized and validly existing under the laws of its jurisdiction of organization; (b) it has the full power and authority to execute and deliver this Certification and to perform its obligations hereunder; and (c) execution, delivery and performance of this Certification does not and will not violate any applicable law or contract to which Certifying Party is a party.

4.2 Recipient Party represents and warrants that it will use the certification only for the purposes specified in the recitals and will maintain confidentiality consistent with Section 7.

5. RELIANCE; LIMITATION OF LIABILITY; INDEMNITY

5.1 Recipient Party may rely on the certifications provided herein solely for the stated purposes. Recipient Party shall not assert claims against Certifying Party based on matters outside the Certified Matters.

5.2 Except for willful misrepresentation or fraud, Certifying Party's liability arising out of or related to this Certification shall be limited to direct, proven damages and in no event shall Certifying Party be liable for consequential, indirect, special or punitive damages.

5.3 Recipient Party agrees to indemnify, defend and hold harmless Certifying Party and its officers, directors and employees from and against any third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from Recipient Party's misuse of the certification or reliance by unauthorized third parties.

6. CONFIDENTIALITY

6.1 All certified documents, statements and attachments designated as confidential shall be treated as Confidential Information and shall not be disclosed by Recipient Party except (a) as required by law or regulation, (b) to its professional advisors bound by confidentiality obligations, or (c) with the prior written consent of Certifying Party.

6.2 In the event disclosure is compelled by law, Recipient Party shall provide prompt written notice to Certifying Party to permit intervention or the seeking of protective relief.

7. NOTICES

All notices, requests, consents and other communications required or permitted under this Certification shall be in writing and delivered to the parties at the addresses set forth below or to such other address as either party may designate in writing:

8. AMENDMENTS; WAIVER; COUNTERPARTS

8.1 No amendment or modification of this Certification shall be valid unless in writing and executed by both parties.

8.2 No waiver of any provision of this Certification shall be valid unless in writing signed by the party to be charged. A waiver of any breach shall not be construed as a waiver of any other breach.

8.3 This Certification may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Facsimile or electronic PDF signatures shall be effective as originals.

9. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

9.1 Governing Law. This Certification shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties: , without regard to choice of law rules.
