LEGAL CERTIFICATION WAIVER

This Legal Certification Waiver (the Agreement) is made as of , by and between Certifying Party Name: (Certifying Party) and Recipient Party Name: (Recipient). The Certifying Party and the Recipient are each a Party and together the Parties.

RECITALS

WHEREAS, the Certifying Party has provided or will provide certain certifications, statements, documents or attestations described below to the Recipient in connection with transactions, compliance obligations, or contractual performance; and

WHEREAS, the Recipient requires reliance on the accuracy and completeness of such certifications and, subject to the terms of this Agreement, the Certifying Party is willing to waive certain rights, claims and defenses related to those certifications; and

WHEREAS, the Parties intend to set forth the scope and effect of any waiver and the mutual obligations of the Parties in writing.

NOW, THEREFORE

In consideration of the mutual covenants and other good and valuable consideration, the sufficiency of which is acknowledged, the Parties agree as follows:

1. DEFINITIONS

Capitalized terms used in this Agreement shall have the following meanings unless the context otherwise requires: "Certification" means any written or verbal representation, attestation, affidavit, document or supporting data delivered by the Certifying Party to the Recipient describing facts, qualifications, compliance or performance. "Waiver" means the relinquishment or disclaimer of specified rights, claims or defenses as set forth in Section 3.

3. WAIVER

The Certifying Party hereby irrevocably and unconditionally waives the following rights, claims and defenses arising from or related to the Certification, subject to the limitations stated in this Agreement:

Waiver of the right to assert that the Recipient may not rely upon the Certification for the stated purpose.

Waiver of any claims for rescission or reform against the Recipient based solely on inaccuracies in the Certification, except for claims based on willful misconduct or fraud.

Waiver of the right to demand additional certification, re-certification, or supplemental documentation related to the matters expressly described in this Agreement.

4. SCOPE AND LIMITATIONS

The Waiver applies only to the specific Certification described in Section 2 and does not constitute a waiver of any rights, claims or defenses unrelated to that Certification. The Waiver shall not apply to claims arising from fraudulent misrepresentation, intentional concealment, or willful misconduct by the Certifying Party.

5. CONSIDERATION

In consideration for the Waiver, the Recipient shall provide the Certifying Party with consideration described below, receipt and sufficiency of which are acknowledged by the Parties.

6. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other that (a) it has the authority to enter into this Agreement; (b) the execution and delivery of this Agreement has been duly authorized; and (c) this Agreement constitutes a valid and binding obligation enforceable in accordance with its terms.

7. INDEMNIFICATION

The Certifying Party agrees to indemnify, defend and hold harmless the Recipient and its officers, directors and agents from and against any losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from third party claims to the extent such claims result from negligent or willfully wrongful statements in the Certification.

8. LIMITATION OF LIABILITY

Except for liability arising from fraud or willful misconduct, neither Party shall be liable to the other for consequential, incidental, special or punitive damages arising out of or related to this Agreement, regardless of legal theory.

9. CONFIDENTIALITY

The Parties acknowledge that the Certification may contain confidential or proprietary information. Each Party shall use reasonable care to protect such information and shall not disclose it except as required by law or with the prior written consent of the other Party.

10. TERM; TERMINATION

This Agreement shall commence on the Effective Date and shall continue until the earlier of (a) written termination by mutual agreement of the Parties or (b) the expiration of any period expressly stated in this Agreement. Termination shall not relieve any Party of obligations accrued prior to termination, including indemnification obligations.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a Party may specify by notice in accordance with this Section. Notice shall be effective upon receipt.

12. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to principles of conflicts of law. The Parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for resolution of disputes.

13. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.

14. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired.

15. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties. No failure or delay by a Party in exercising any right shall operate as a waiver of that right.

16. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be binding.

17. AUTHORITY

Each person signing this Agreement on behalf of a Party represents and warrants that he or she is duly authorized to execute and deliver this Agreement on behalf of that Party and to bind that Party to the terms and conditions herein.
