LEGAL CERTIFICATIONS FORM

This Legal Certifications Form (the "Form") is made and entered into as of Effective Date: by and between Certifying Party Name: with principal address , and Recipient Party Name: with principal address .

Recitals

WHEREAS, Certifying Party possesses certain factual and legal information relevant to Recipient's evaluation of a business relationship and has agreed to provide certifications to Recipient in connection with such evaluation; and

WHEREAS, Recipient requires written certifications from Certifying Party as a condition to relying upon representations, entering into agreements, issuing funds, or maintaining contractual or regulatory compliance; and

WHEREAS, the parties desire to set forth the certifications, representations, remedies, and procedures that will apply to the information and statements certified by Certifying Party.

NOW, THEREFORE, in consideration of the mutual covenants set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Definitions

1.1 "Certifications" means the statements, acknowledgments and assurances made by Certifying Party in Section 2 below and any attachments incorporated by reference.

1.2 "Confidential Information" means non-public information disclosed by either party in connection with the matters contemplated by this Form and designated as confidential or which, by its nature, should be treated as confidential.

2. Certifications

Certifying Party certifies, represents and warrants to Recipient as of the Effective Date and as of each date that any relevant certified statement is relied upon by Recipient, that the following statements are true and correct:

Certifying Party is duly organized, validly existing, and in good standing under the laws of its jurisdiction of organization and has full power and authority to execute, deliver and perform this Form.

Execution and performance of this Form do not and will not (with notice, lapse of time, or both) conflict with, or constitute a default under, any material agreement, instrument, court order, or law applicable to Certifying Party.

Certifying Party and its principals are not subject to sanctions, debarment, or any enforcement action that would prohibit performance and have complied with applicable laws, regulations, and industry standards relevant to the matters certified.

There is no pending or, to Certifying Party's knowledge, threatened litigation, arbitration, or administrative proceeding that would reasonably be expected to have a material adverse effect on Certifying Party's ability to perform its obligations.

The financial information, if any, provided to Recipient is true, complete and fairly presents the financial condition of Certifying Party as of the date provided.

3. Representations and Warranties

Certifying Party represents and warrants that all information provided in connection with these Certifications is accurate, complete and not misleading in any material respect. Certifying Party acknowledges that Recipient will rely on such information and that any material omission or misstatement shall constitute a material breach entitling Recipient to remedies under Section 6.

4. Compliance, Records and Audit

Certifying Party shall maintain complete and accurate books and records relating to the matters certified for a period of not less than five (5) years following the Effective Date, or such longer period as required by law. Upon reasonable prior written notice, Recipient shall have the right to audit such records during normal business hours to verify the certifications. Any such audit shall be conducted in a manner designed to minimize disruption to Certifying Party's business.

5. Indemnification and Remedies

Certifying Party shall indemnify, defend, and hold harmless Recipient, its affiliates and their respective officers, directors and employees from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) resulting from any breach of a certification, representation or warranty contained in this Form or from inaccurate or misleading information provided by Certifying Party.

In addition to indemnification, Recipient shall be entitled to any equitable and legal remedies available, including injunctive relief, rescission of reliance, setoff, or termination of any related agreement where reliance on a certification was a material inducement.

6. Term; Survival

This Form shall commence on the Effective Date and shall remain in effect for a period of three (3) years, unless earlier terminated by written agreement of the parties. Notwithstanding termination, the obligations in Sections 2, 3, 4 and 5 shall survive termination for the longer of five (5) years or the period required by applicable law.

7. Notices

All notices, requests, demands, and other communications required or permitted under this Form shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice in accordance with this Section.

8. Amendments; Waiver; Counterparts

No amendment or modification of this Form shall be valid unless executed in writing by authorized representatives of both parties. No failure or delay by either party in exercising any right shall constitute a waiver of that right. This Form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

9. Governing Law; Venue

This Form shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to its conflict-of-law principles. The parties hereby submit to the exclusive jurisdiction of the courts located in that jurisdiction for disputes arising out of or related to this Form.

10. Entire Agreement; Severability

This Form constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Form is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the original economic and legal intent.

11. Acknowledgment of Penalties

Certifying Party acknowledges that knowingly making a material false statement in this Form may constitute a breach of contract and may subject Certifying Party to civil or criminal penalties under applicable law. Certifying Party further acknowledges that Recipient may rely on the truth and completeness of the statements herein in deciding whether to enter into transactions, provide funds, or take other actions.
