LEGAL CESSION AGREEMENT

RECITALS

WHEREAS, Cedent is the owner of certain rights, title and interest in and to the asset, contract, claim, or other intangible property described as follows:

WHEREAS, Cedent desires to transfer, assign and cede to Cessionary, and Cessionary desires to accept from Cedent, all of Cedent's right, title and interest in and to the Assigned Rights, upon the terms and conditions set forth in this Agreement.

WHEREAS, the parties intend that the transfer effected by this Agreement shall be absolute and irrevocable except as otherwise expressly provided herein.

NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Assigned Rights" means all right, title and interest of the Cedent in and to the asset(s) described in the Assigned Instrument Description and any proceeds, substitutions, replacements or derivations thereof.

1.2 "Effective Date" means the date set forth above in the opening paragraph.

2. CESSION AND ASSIGNMENT

2.1 Assignment. Subject to the terms and conditions of this Agreement, Cedent hereby cedes, assigns, transfers and conveys to Cessionary all of Cedent's right, title and interest in and to the Assigned Rights, free and clear of any encumbrances except as expressly set forth in this Agreement.

2.2 Scope. The assignment effected by this Agreement includes all rights to receive payments, enforce claims, pursue recovery, and take any action necessary to perfect, preserve or exercise the Assigned Rights, whether arising before, on or after the Effective Date.

3. CONSIDERATION

3.1 Consideration. In consideration for the cession and assignment set forth in Section 2, Cessionary shall pay to Cedent the sum of (the "Consideration"), subject to adjustments as expressly provided in this Agreement.

3.2 Payment Terms. The Consideration shall be paid in accordance with the schedule and method set forth below:

Cedent represents and warrants to Cessionary as follows, each of which is true and correct as of the Effective Date:

(a) Cedent is the lawful owner of, and has good and marketable title to, the Assigned Rights and has the full right and authority to transfer the Assigned Rights to Cessionary free and clear of any liens, pledges, security interests or other encumbrances except for those disclosed in writing to Cessionary prior to the Effective Date.

(b) There is no pending or, to Cedent's knowledge, threatened litigation, arbitration or administrative proceeding that would materially impair the Assigned Rights or Cedent's ability to perform its obligations under this Agreement.

5. REPRESENTATIONS AND WARRANTIES OF CESSIONARY

Cessionary represents and warrants to Cedent that it has full corporate power and authority to enter into this Agreement, to accept the assignment of the Assigned Rights, and to perform its obligations hereunder.

Cessionary further represents that it is acquiring the Assigned Rights for lawful purposes and will comply with all applicable laws in exercising the Assigned Rights.

6. COVENANTS

6.1 Cooperation. Cedent shall execute and deliver to Cessionary such further instruments and take such further actions as may be reasonably requested by Cessionary to effectuate the transfer of the Assigned Rights and to enable Cessionary to exercise, enforce and realize upon the Assigned Rights.

6.2 Preservation of Rights. Cedent shall not, without the prior written consent of Cessionary, take any action that would impair or derogate from the Assigned Rights or Cessionary's ability to benefit from the Assigned Rights.

7. INDEMNIFICATION

7.1 Cedent shall indemnify, defend and hold harmless Cessionary from and against any and all losses, liabilities, claims, costs and expenses (including reasonable attorneys' fees) arising out of any breach of Cedent's representations, warranties or covenants contained in this Agreement.

7.2 Cessionary shall indemnify, defend and hold harmless Cedent from and against any and all losses, liabilities, claims, costs and expenses (including reasonable attorneys' fees) arising out of Cessionary's breach of this Agreement or its use of the Assigned Rights after the Effective Date.

8. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or three (3) business days after deposit in the mail, postage prepaid, addressed to the party at its address set forth above or at such other address as a party may designate by notice in accordance with this Section.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law that would apply the law of another jurisdiction.

10. ENTIRE AGREEMENT; AMENDMENT; SEVERABILITY; WAIVER

10.1 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.

10.2 Amendment. No amendment, modification or waiver of this Agreement shall be effective unless in writing and executed by both parties.

10.3 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired thereby.

10.4 Waiver. No failure or delay by any party in exercising any right, power or privilege under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any right preclude any other or further exercise thereof.

11. MISCELLANEOUS

11.1 Costs and Expenses. Except as otherwise provided in this Agreement, each party shall bear its own costs and expenses incurred in connection with the negotiation, execution and performance of this Agreement.

11.2 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument.
