LEGAL CONTINGENT FEE AGREEMENT (CFA)

This Contingent Fee Agreement ("Agreement") is made and entered into as of Effective Date: by and between Client Name: ("Client") and Attorney Name: ("Attorney"). Client retains Attorney to provide representation on the terms set forth below.

RECITALS

WHEREAS, Client desires to engage Attorney to prosecute or otherwise pursue claims or recoveries described as: ; and

WHEREAS, Attorney has the experience and ability to represent Client and will undertake representation on a contingent fee basis in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to fees, costs, and disposition of any recovery.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT; SCOPE OF REPRESENTATION

1.1 Engagement. Client hereby retains Attorney, and Attorney accepts such engagement, to represent Client in connection with the matter identified above, including pre-litigation negotiations, litigation, settlement discussions, and appeals related thereto (collectively, the "Matter").

1.2 Exclusions. Attorney's representation does not include unrelated matters unless the parties execute a separate written agreement. Attorney may, after providing reasonable notice to Client, associate or substitute other counsel where appropriate.

2. CONTINGENT FEE

2.1 Contingent Fee Percentage. In consideration of Attorney's representation, Client agrees that Attorney shall be entitled to a contingent fee equal to % of the Gross Recovery.

2.2 Fee Variations. If suit is filed or a matter proceeds to arbitration or trial, the contingent fee shall be adjusted to % of the Gross Recovery. If an appeal is necessary, the contingent fee for amounts recovered on appeal shall be % in addition to the fee calculated above.

2.3 Calculation of Recovery. "Gross Recovery" means all sums recovered on behalf of Client by settlement, judgment, award, or otherwise, before deduction of costs and disbursements. The contingent fee shall be calculated on Gross Recovery unless the parties agree in writing to compute the fee on Net Recovery.

3. COSTS AND EXPENSES

3.1 Responsibility for Costs. Client shall be responsible for costs and expenses reasonably incurred in the prosecution of the Matter, including filing fees, court reporter fees, expert fees, travel, postage, and investigation expenses ("Costs"). Unless otherwise agreed in writing, Costs shall be advanced by Attorney and reimbursed from the recovery in accordance with Section 6.

3.2 Advancement and Security. Attorney may require an initial retainer or periodic deposits for anticipated Costs. Amount of initial deposit: . Client acknowledges that such deposit is not a fee but will be applied to Costs and returned or replenished as appropriate.

4. ACCOUNTING; DISBURSEMENT OF RECOVERY

4.1 Accounting. Upon resolution of the Matter, Attorney shall provide Client with a written accounting showing Gross Recovery, Costs, the contingent fee calculation, and net proceeds payable to Client.

4.2 Disbursement. Attorney shall first reimburse advanced Costs from the recovery, then deduct the contingent fee, and shall remit the remaining net proceeds to Client within a commercially reasonable time not to exceed days after clearance of funds.

5. CLIENT COOPERATION; SUBPOENAS

Client shall cooperate with Attorney, provide truthful information and documents, make Client available for interviews and testimony as reasonably requested, and comply with Attorney's reasonable instructions. Failure to cooperate may be grounds for withdrawal and may affect fee obligations as set forth herein.

6. WITHDRAWAL; TERMINATION

Attorney may withdraw for good cause, including conflict of interest, breakdown in attorney-client relationship, or Client's failure to cooperate. If Attorney withdraws and Client obtains representation by other counsel, Attorney shall be entitled to a quantum meruit recovery for services rendered and to reimbursement for Costs advanced, subject to applicable law.

7. LIENS; ASSIGNMENTS

Client grants Attorney a charging lien and/or retaining lien on any recovery obtained or funds held by Attorney in satisfaction of the contingent fee and reimbursement of Costs. Client shall not assign rights to recovery without Attorney's written consent where such assignment would impair Attorney's fee.

8. NO GUARANTEE

Attorney has made no guarantees regarding the outcome of the Matter and nothing in this Agreement should be construed as a promise or guarantee of recovery. Estimates of potential recovery are nonbinding and illustrative only.

9. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed under the laws of the State of . Venue for any dispute arising under this Agreement shall lie in the state or federal courts located within the county where the Matter is prosecuted, unless otherwise mandated by law.

10. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above by hand, certified mail (return receipt requested), or recognized overnight courier, and shall be effective upon receipt.

11. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.

12. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal, or unenforceable in whole or in part for any reason, such provision shall be severed and the remaining provisions shall continue in full force and effect.

13. AMENDMENT; WAIVER; COUNTERPARTS

Any amendment to this Agreement must be in writing and signed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party granting the waiver. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument.

14. MISCELLANEOUS PROVISIONS

14.1 Client Acknowledgment. Client acknowledges receipt of a copy of this Agreement and the opportunity to consult independent counsel prior to execution. Client also acknowledges that Client has read and understands the fee arrangement set forth herein.
