LEGAL CHANGE NOTICE

RECITALS

2. EFFECT ON AGREEMENT

Except as expressly set forth in this Notice, the change(s) described in Section 1 shall not release, waive, terminate, or otherwise modify any party's rights or obligations under the Agreement. All references to the Notifying Party in the Agreement shall be deemed to refer to the Notifying Party as changed as of the Effective Date for the limited purposes of identifying the correct legal name, address, or other specified information.

If the change constitutes an assignment, merger, or transfer that requires the Recipient Party's consent under the Agreement, such consent shall be governed by the Agreement, and nothing in this Notice constitutes a waiver of any consent right unless a duly executed amendment expressly so states.

3. REPRESENTATIONS AND WARRANTIES

The Notifying Party represents and warrants that (a) it has the full corporate, partnership or other organizational power and authority to effect the change(s) described herein; (b) the execution and delivery of this Notice and the performance of the obligations herein do not and will not result in a breach or default under any material agreement to which it is a party; and (c) it will provide, upon request, certified or notarized copies of any corporate resolutions, amendment documents, or other instruments necessary to document the change.

All notices delivered pursuant to the Agreement or this Notice shall be deemed given when delivered in accordance with the method(s) specified in the Agreement, or if no method is specified therein, when sent by nationally recognized overnight courier or delivered by hand to the notice addresses provided above.

6. MISCELLANEOUS

Governing Law: This Notice shall be governed by and construed in accordance with the laws of the state identified in the Agreement, without regard to conflicts of laws principles. If the Agreement does not specify governing law, the laws of the jurisdiction of the Recipient Party's principal place of business shall govern.

Entire Agreement: This Notice, together with the Agreement and any documents expressly incorporated by reference herein, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes any prior oral or written communications regarding the changed information.

Severability: If any provision of this Notice is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Amendments and Waiver: No amendment, modification or waiver of any provision of this Notice shall be effective unless in writing and signed by both parties. The failure of either party to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.

Counterparts: This Notice may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Facsimile or electronic copies of signatures shall be binding for all purposes.
