5.1 Each party shall indemnify, defend and hold harmless the other party from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from (a) any inaccuracy in the address information provided by the indemnifying party, or (b) the indemnifying party's failure to provide timely written notice of any subsequent address change.

6. MISCELLANEOUS

6.1 Governing Law. This Form shall be governed by and construed in accordance with the laws of the state or jurisdiction selected by the parties below.

6.2 Entire Agreement. This Form constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes any prior oral or written communications and understandings regarding the same.

6.3 Severability. If any provision of this Form is held to be invalid or unenforceable, the remainder of this Form shall remain in full force and effect and such invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely reflects the parties' original intent.

6.4 Amendments; Waiver. No amendment, modification or waiver of any provision of this Form shall be effective unless set forth in a written instrument signed by both parties. The waiver by either party of a breach of any provision of this Form shall not operate as a waiver of any subsequent breach.

6.5 Counterparts. This Form may be executed in two or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be deemed binding for all purposes.
