RECITALS

WHEREAS, Notice From is a party to a written agreement with Recipient identified above (the "Agreement") dated as of ; and

WHEREAS, pursuant to the Agreement and applicable law, Notice From has the right to amend, modify or change certain terms of the Agreement upon notice to Recipient or by mutual written agreement; and

3. ACCEPTANCE, CONSENT OR OBJECTION

Recipient shall have days from the Notice Date to deliver written notice of objection to the changes. Failure by Recipient to deliver a written objection within such period, or Recipient's continued receipt of services or performance under the Agreement after the Effective Date, shall constitute acceptance and consent to the modifications.

4. TERMINATION RIGHT

If Recipient timely objects to the modifications, the non-breaching party may, at its election, terminate the Agreement by providing written notice to the other party within thirty (30) days after receipt of Recipient's objection. Termination shall be without liability for future obligations, except for obligations accrued prior to termination and any express termination liabilities set forth in the Agreement.

5. NOTICES

All notices required or permitted under this Notice shall be in writing and shall be delivered to the addresses set forth below. Notice shall be effective upon receipt by personal delivery, next business day by nationally recognized overnight courier, or three (3) business days after deposit in the U.S. mail, postage prepaid, certified mail, return receipt requested.

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it has full corporate or legal power and authority to execute and deliver this Notice and to perform its obligations hereunder; (b) the execution, delivery and performance of this Notice have been duly authorized by all necessary corporate or other action; and (c) when executed and delivered, this Notice constitutes a valid and binding obligation enforceable in accordance with its terms.

7. AMENDMENT

Except as expressly provided in this Notice, no amendment, modification or waiver of any provision of this Notice or the Agreement shall be effective unless made in writing and signed by authorized representatives of both parties.

8. WAIVER

No failure or delay by either party in exercising any right, power or remedy under this Notice shall operate as a waiver thereof, nor shall any single or partial exercise of any right preclude any other or further exercise of that right or the exercise of any other right.

9. GOVERNING LAW

This Notice shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

10. ENTIRE AGREEMENT

This Notice, together with the Agreement as amended hereby, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

11. SEVERABILITY

If any provision of this Notice is held to be invalid, illegal or unenforceable in any respect, such provision shall be severed and the remaining provisions shall continue in full force and effect to the greatest extent permitted by law.

12. COUNTERPARTS

This Notice may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be effective as originals for all purposes.
