LEGAL CHANGE REQUEST ADDENDUM

This Legal Change Request Addendum (the "Addendum") is made on this Day: Month: Year: (the "Effective Date"), by and between Party A Name: , a Corporation LLC Individual ("Party A"); and Party B Name: , a Corporation LLC Individual ("Party B"). Party A and Party B are each a "Party" and collectively the "Parties."

RECITALS

1. DEFINITIONS

1.1 In this Addendum, unless the context otherwise requires, capitalized terms used and not otherwise defined herein shall have the meanings assigned to them in the Agreement. For purposes of this Addendum, "Change Request" means the documented modification described in Section 2 below.

2. DESCRIPTION OF CHANGE

2.1 The Parties agree that the Agreement is amended to include the following change(s). The Parties shall specify in detail the precise scope of work, deliverables, specifications and any exclusions below.

3. EFFECTIVE DATE OF CHANGE

3.1 The modifications set forth in this Addendum shall become effective on (the "Change Effective Date"), unless a different effective date is expressly set forth in Section 3.2.

4. COMPENSATION, FEES AND PAYMENT

4.1 As a result of the Change Request, the Parties agree the compensation shall be adjusted as follows. Any adjustment shall be final and exclusive unless otherwise agreed in writing.

5.1 The Parties shall perform their obligations in accordance with the following schedule and responsibilities. Failure to meet specified dates shall be governed by the delay provisions of the Agreement unless otherwise modified herein.

6. REPRESENTATIONS AND WARRANTIES

6.1 Each Party represents and warrants to the other that (a) it has full corporate or individual power and authority to enter into this Addendum; (b) the execution, delivery and performance of this Addendum have been duly authorized; and (c) when executed and delivered, this Addendum will constitute a legal, valid and binding obligation enforceable against such Party in accordance with its terms.

6.2 No other representations, warranties, or commitments, whether express or implied, shall be deemed to exist except as expressly set forth in this Addendum and the Agreement.

7. CONFIDENTIALITY

7.1 The Parties acknowledge that the terms of the Change Request and any information exchanged in connection with implementing the Change Request constitute Confidential Information under the Agreement and shall be protected in accordance with the confidentiality provisions of the Agreement. Any permitted disclosure shall be limited to those representatives with a need to know and subject to customary confidentiality obligations.

8. NOTICES

8.1 All notices, requests, demands and other communications required or permitted under this Addendum shall be given in writing to the addresses set forth below and shall be effective in the manner provided in the Agreement.

9. AMENDMENTS; WAIVER

9.1 No amendment, modification or waiver of any provision of this Addendum shall be effective unless in a writing signed by the Party against whom enforcement of the amendment, modification or waiver is sought. No waiver by either Party of any breach shall be deemed to be a waiver of any subsequent breach.

10. GOVERNING LAW

10.1 This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

11. ENTIRE AGREEMENT

11.1 Except as expressly amended by this Addendum, the Agreement remains unmodified and in full force and effect. This Addendum, together with the Agreement, constitutes the entire agreement of the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral.

12. SEVERABILITY

12.1 If any provision of this Addendum is held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall continue in full force and effect.

13. COUNTERPARTS

13.1 This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission or other reliable means shall be binding.

14. CONFLICT WITH AGREEMENT

14.1 To the extent of any inconsistency between the terms of this Addendum and the Agreement, the terms of this Addendum shall control solely with respect to the subject matter of the Change Request.
