LEGAL CIVIL RETAINER AGREEMENT

This Retainer Agreement ("Agreement") is made and entered into effective as of , by and between Client Name: and Law Firm Name: . Lead Counsel: .

RECITALS

WHEREAS, Client seeks legal representation from Law Firm for civil legal matters described below; and

WHEREAS, Law Firm is willing to provide such legal services subject to the terms of this Agreement and applicable rules of professional responsibility; and

WHEREAS, the parties desire to set forth their respective rights and obligations regarding scope of representation, fees, costs, and termination.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other good and valuable consideration, the parties agree as follows:

1. SCOPE OF ENGAGEMENT

1.1 Engagement. Client hereby retains Law Firm to represent Client in the following matter(s): general civil litigation and related pre‑litigation negotiation, pleadings, discovery, motion practice, trial preparation and, if necessary, trial. The specific scope is described below.

1.2 Exclusions. Representation does not include appeals, unrelated matters, or representation of Client in criminal proceedings unless expressly agreed in writing.

2. ATTORNEY DUTIES; STANDARD OF CARE

Law Firm shall perform legal services with the skill, care and diligence ordinarily exercised by competent attorneys under similar circumstances. Law Firm does not guarantee results and cannot assure any particular outcome.

3. FEES

3.1 Billing Method. Client agrees that Law Firm will bill as set forth below (select all that apply):

Hourly billing at the rates set forth below. Flat fee for specified tasks as described in scope.

3.2 Billing Increments. Time will be recorded and billed in increments of hours, with appropriate rounding consistent with practice.

4. RETAINER; TRUST ACCOUNT

4.1 Initial Retainer. Client agrees to pay an initial retainer in the amount of , to be held in Law Firm's client trust account and applied against billed fees and costs.

4.2 Trust Accounting. Funds held in trust will be maintained in a client trust account in accordance with applicable rules. Client understands that Law Firm will draw against the trust for fees and expenses as billed; a periodic accounting will be provided upon request or at termination.

5. EXPENSES AND COSTS

Client will be responsible for all reasonable out‑of‑pocket expenses incurred by Law Firm in connection with the representation, including but not limited to court fees, process server fees, deposition costs, expert fees, filing fees, travel, photocopying and courier charges. Such expenses may be billed monthly or advanced from the retainer.

6. INVOICES; PAYMENT; LATE CHARGES

Law Firm will render monthly invoices describing services performed, time expended and costs advanced. Payment is due within thirty (30) days of invoice. Unpaid balances shall bear interest at the lesser of 1.5% per month or the maximum lawful rate, and Client authorizes Law Firm to suspend services if invoices are more than sixty (60) days overdue after notice.

7. CLIENT'S DUTIES

Client agrees to cooperate with Law Firm, to provide all information and documents reasonably necessary for representation, to be truthful, and to attend proceedings as requested. Client agrees to inform Law Firm promptly of any changes in address or telephone contact.

8. CONFLICTS; REPRESENTATION OF OTHERS

Law Firm represents that, except as disclosed in writing, it is not aware of any conflict of interest that would materially impair its ability to represent Client in the matter. Client authorizes Law Firm to continue representation of existing or future clients unless a material conflict arises, in which event Law Firm will take steps required by the rules of professional conduct.

9. CONFIDENTIALITY; ATTORNEY‑CLIENT PRIVILEGE

All communications between Client and Law Firm concerning legal advice and case strategy are confidential and protected by the attorney‑client privilege and work product doctrine to the fullest extent permitted by law. Law Firm may disclose privileged information only to the extent necessary to carry out representation or as required by law.

10. TERMINATION; EFFECT OF TERMINATION

Either party may terminate this Agreement upon written notice. Upon termination, Client remains obligated to pay all fees and costs incurred up to the date of termination. Law Firm may retain a lien, to the extent permitted by law, on Client files and recover reasonable costs for file transfer or storage.

11. FILES AND RECORDS

Client may request the file upon conclusion of the matter subject to payment of outstanding balances and reasonable copying charges. Law Firm may retain copies of work product and reserves the right to destroy inactive files in accordance with its document retention policies after reasonable notice.

12. DISPUTE RESOLUTION

Any dispute arising under this Agreement, including fee disputes, shall first be submitted to non‑binding mediation upon the request of either party. If mediation fails, the parties may pursue litigation in the courts specified in Section 13 unless they agree in writing to alternative resolution such as arbitration. Nothing in this paragraph prevents Law Firm from seeking provisional relief or enforcing liens.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State identified below without regard to conflict of law principles.

14. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, oral or written.

15. SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid provision shall be replaced by an enforceable provision that most closely reflects the parties' intent.

16. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as either party designates in writing. Notices shall be deemed given on the date of personal delivery, or three (3) days after deposit in the United States mail, postage prepaid.

17. AMENDMENTS; MODIFICATION

This Agreement may be amended only by a written instrument signed by both parties. No course of conduct or failure to enforce any provision shall serve as a modification unless memorialized in writing.

18. WAIVER

The waiver by either party of any breach or default under this Agreement shall not constitute a waiver of any subsequent breach or default.

19. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by facsimile or electronic means shall be binding.

20. ACKNOWLEDGMENT

By signing below, Client acknowledges that Client has read this Agreement, has had the opportunity to ask questions and seek independent advice, and agrees to be bound by its terms.
