RECITALS

7. PRESERVATION AND COOPERATION

Nothing in this form constitutes a waiver of any legal right or defense, except as expressly stated in a signed resolution of the Claim.

8. CONFIDENTIALITY

Any information designated in writing as confidential by either party and provided pursuant to this form shall be treated as confidential to the extent permitted by law. Confidential treatment does not limit a party's right to disclose information as required by law, court order, or regulatory obligation.

9. DISPUTE RESOLUTION

The parties agree that any dispute arising from the handling of this Claim shall be resolved first by good-faith negotiation. If negotiation fails, the parties may pursue mediation or other consensual alternative dispute resolution. Nothing herein prevents a party from seeking injunctive relief or provisional remedies in a court of competent jurisdiction.

10. NOTICES

All notices or communications required or permitted under this form shall be in writing and delivered to the addresses provided above, or to alternate addresses designated in writing by the parties. Notice is effective upon personal delivery, or three business days after deposit in the U.S. mail, postage prepaid.

11. AMENDMENT; WAIVER; COUNTERPARTS

This form may be amended only by a written instrument signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver. This form may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

Governing Law: This form shall be governed by and construed in accordance with the substantive laws of the jurisdiction where Claimant maintains its principal address, without regard to conflict-of-law principles.

Entire Agreement: This form constitutes the entire written record of the matters addressed herein between the parties with respect to the identified Claim and supersedes all prior written or oral statements solely with respect to the matters set forth herein.

Severability: If any provision of this form is held invalid or unenforceable, the remaining provisions shall remain in full force and effect to the greatest extent permitted by law.
