RECITALS

2. SCOPE OF CLEARANCE

Approving Party hereby grants Clearance solely as to the matters explicitly identified in the Subject Description and to the extent identified in the clearance types selected below. Clearance does not extend to matters not expressly described or to additional uses, jurisdictions, or future modifications unless expressly authorized in writing by Approving Party.

3. APPROVAL, CONDITIONS, AND LIMITATIONS

3.1 Approval. Approving Party's Clearance shall be evidenced by the signature of an authorized representative below and shall specify any conditions precedent, ongoing obligations, or required actions to be completed by Requesting Party prior to relying upon such Clearance.

3.2 Conditions. Any condition set forth in the clearance is a material term. Requesting Party agrees to satisfy all identified conditions, including but not limited to obtaining third-party consents, implementing license restrictions, or completing modifications to the Subject.

3.3 Limitations. Clearance is limited to the facts, documents, and materials presented to Approving Party as of the Effective Date and shall not constitute a warranty beyond the scope expressly set forth. Approving Party makes no warranty as to matters not reviewed or disclosed in writing.

4. REPRESENTATIONS AND WARRANTIES

4.1 Requesting Party represents and warrants that the information and materials provided to Approving Party are true, complete, and not misleading in any material respect. Requesting Party shall promptly notify Approving Party in writing of any material change to those facts or materials.

4.2 Approving Party represents that the individual executing this Form on its behalf is authorized to grant Clearance and that the Clearance is given in accordance with applicable internal procedures.

5. INDEMNIFICATION

Requesting Party shall indemnify, defend, and hold harmless Approving Party and its affiliates, officers, and employees from and against any third-party claims, liabilities, losses, or costs arising from Requesting Party's failure to comply with the conditions of Clearance, reliance upon Clearance outside its stated scope, or material misrepresentations made to obtain Clearance, except to the extent such claims arise from Approving Party's gross negligence or willful misconduct.

6. CONFIDENTIALITY

The parties acknowledge that materials submitted in connection with this clearance may be confidential. Each party shall protect such materials in accordance with any existing confidentiality agreement between the parties or, absent such agreement, shall treat them as confidential and use them solely for the purposes of evaluation and the Clearance process.

7. NOTICES

All notices and communications required or permitted under this Form shall be in writing and delivered to the contact information provided below. Notice is effective upon receipt.

8. AMENDMENTS, WAIVER, COUNTERPARTS

Any amendment to this Form must be in writing and signed by authorized representatives of both parties. No waiver of any provision is effective unless in writing and signed by the party waiving compliance. This Form may be executed in counterparts, each of which constitutes an original and all of which together constitute one instrument.

9. GOVERNING LAW
